<br /> THE SALE
<br /> Certificates of Obli ation Offered for Sale at Com etitive Biddin ... The City of San Marcos,
<br /> Texas the "City" , is offering for sale its $1,500,000 Waterworks and Sewer System Certifi-
<br /> cates of Obligation, Series 1984 (the "Certificates" or "Certificate", which shall include,
<br /> for purposes of definition, the Initial Certificate),
<br /> Address of Bids ... Sealed bids, plainly marked "Bid for Certificates of Obligation", should
<br /> be addressed and del ivered to "Mayor and City Council, San Marcos, Texas", prior to 7:30 PM,
<br /> CST, on the date of the bid opening. All bi ds must be submitted on the Offi ci a 1 Bi d Form,
<br /> without alteration or interlineation.
<br /> Place and Time of Bid Opening ,.. The City Council will open and publicly read the bids for
<br /> the purchase of the Certificates at the City Hall Chambers, 603 E. Hopkins, San Marcos, Texas,
<br /> at 7:30 PM, CST, December 19, 1983. ~
<br /> Award of the Certificates of Obli ation ... The City Council will take action to award the
<br /> Certificates or reject all bids promptly after the opening of bids, and adopt an ordinance
<br /> authorizing the Certificates and approving the Official Statement (the "Ordinance").
<br /> THE CERTIFICATES
<br /> Description ... The Certificates of Obligation will be dated January 1,1984 (the "Certifi-
<br /> cate Date"), and interest will be due on January 1, 1985 and each July 1 and January 1 there-
<br /> after until the earlier of maturity or prior redemption. The Certificates will be issued
<br /> only in fully registered form in any integral multiple of $5,000 for anyone maturity, and
<br /> principal and semi-annual interest will be paid by American National Bank, Austin, Texas, the
<br /> payinq agent/registrar (the "Paying Agent/Registrar"). Principal of the Certificates will be
<br /> payable to the registered holder or owner (the "Holder" or "Owner") at maturity or redemption
<br /> upon presentation at the the principal corporate office of the Paying Agent/Registrar. In-.
<br /> terest on the Certificates will be payable by check, dated as of the interest payment date,
<br /> and mailed by the Paying Agent/Registrar to registered Holders as shown on the records of
<br /> the Paying Agent/Registrar on the Record Date (see "Record Date for Interest Payment" herein).
<br /> The Certificates will mature on January 1 in each year as follows:

<br /> The City reserves the right, at its option, to redeem Certificates maturing January 1, 1995,
<br /> through January 1, 2003, both inclusive, in whole or any part thereof by lot, on January 1,
<br /> 1994, or any interest payment date thereafter, at the par value thereof plus accrued interest
<br /> to the date fixed for redemption. If less than all of the Certificates are to be redeemed
<br /> by the City, the City shall determine the maturity or maturities and the amounts thereof to
<br /> be redeemed and shall direct the Paying Agent/Registrar to call by lot Certificates, or por-
<br /> tions thereof, for redemption. Not less than 30 days prior to a redemption date for the
<br /> Certificates, the City shall cause a notice of redemption to be sent by United States mail,
<br /> first class, postage prepaid, to each Holder of a Certificate to be redeemed, in whole or in
<br /> part, at the address of the Holder appearing on the registration books of the Paying Agent/
<br /> Registrar at the time such notice of redemption is mailed.
<br /> Limitation on Transfer of Certificates Called for Redemption ,.. Neither the City or the Day-
<br /> ing Agent/Registrar shall be required to issue or transfer to an assignee of the Holder of
<br /> the Certificates any Certificate called for redemption, in whole or in part, within 45 days
<br /> of the date fixed for redemption; provided, however, such limitation of transfer shall not be
<br /> applicable to an exchange by the Certificate Holder of the unredeemed balance of a Certifi-
<br /> cate called in part for redemption.
