1. "Agreement" means this Strategic Partnership Agreement between the City of San Marcos <br />and the Cotton Center Municipal Utility District No. 1. <br />2. "City" means the City of San Marcos, Texas. <br />3. "City Council" means the elected body of the City of San Marcos, as such term is defined <br />in Section 1.02 of the Charter. <br />4. "Consent Agreement" the Agreement between the City of San Marcos and Walton Texas, <br />LP consenting to the creation of the Cotton Center Municipal Utility District No. I dated <br />November , 2014. <br />5. "Developer" means the Walton Texas, LP as an Owner, as such term is defined in the <br />Development Agreement dated , 2014, and any designated successors and <br />assigns that acquire and develop the Property. <br />6. "Development Agreement" means the Development Agreement between the City and <br />Walton Texas, LP (on behalf of the Cotton Center Development, including any <br />assignments as authorized therein and future amendments thereto). <br />7. "District" means the Cotton Center Municipal Utility District No. 1, Caldwell County, <br />Texas. <br />8. "District Boundaries" means the boundaries of District as they now exist, including <br />property that may hereafter be annexed by the District, as such boundaries are more <br />particularly described in Exhibit "A" and depicted on Exhibit `B" attached to this <br />Agreement. <br />9. "District Facilities" means the water, wastewater, drainage, road and park property, <br />facilities, services or contract rights and other property or rights to serve the District. <br />10. "Limited Purpose Annexation" means annexation for the limited purpose of collecting <br />Sales and Use Tax as provided for in Chapter 43.0751 of Texas Local Government Code, <br />as amended. <br />11. "Limited Purpose Tracts" means any tract located within the District and in Caldwell <br />County, Texas that is designated as community commercial use upon the filing of initial <br />plat, and subject to limited purpose annexation under Section 2.03. <br />12. "Notice" means any formal notice or communication required or authorized to be given by <br />one Party to another by this Agreement. <br />13. "Parties" means City and District. <br />14. "Party" means City, or District, as the case may be. <br />3 <br />
