compensation based on the recovery rate, less any disputed amounts, pending resolution thereof, in accordance with Article 13. The Company's expenses for travel, office, production and other expenses associated directly or indirectly with this Agreement are included as part of the total fee. 4.1.2 The Company will reimburse the City for commissions paid to the Company on payments reported as paid to the City which are returned to the City as unpaid by the bank. Conversely, the City will reimburse the Company for commissions paid to the City on payments reported as paid to the Company which are returned to the Company as unpaid by the bank. All reversals will appear on the following month's payment invoice. 4.2 PAYMENTS FOR ADDITIONAL SERVICES The City will pay the Company for approved Additional Services as defined in Section 2.2 monthly upon presentation of the Company's statement of services rendered or expenses incurred, less any disputed amounts, pending resolution thereof and an Authorization of Change in Services form executed by the Company and the City. ARTICLE 5 COMPANY'S RECORDS 5.1 The Company will keep all of its expense records in a recognized accounting format acceptable to the City and these records will be available to the City at mutually convenient times. 5.2 The City, its auditors, federal auditors, and state agencies that have monitoring or auditing responsibilities for this Agreement will have access to any books, documents, papers and records of the Company which are directly pertinent to this Agreement for the purpose of making audit, examination, excerpts, copying and transcriptions. 5.3 The Company will furnish to the City at such time and in such form as the City may require, financial statements including financial statements, records, reports, data and information, as the City may request pertaining to the matters covered by this Agreement. ARTICLE 6 OWNERSHIP AND USE OF DOCUMENTS 6.1 All documents prepared by the Company in connection with this Agreement are the property of the City. 6.2 The Company will retain all of its records and supporting documentation relating to this Agreement, and not delivered to the City, for a period of three years from completion of its Services except in the event that the Company goes out of business during that period, it will turn over, to the City, all of its records relating to the Project for retention by the City.
