Section 3.4 Redemption of Bonds. The Agency, in its sole discretion or upon the <br />written request of a Sponsoring Public Entity (and provided that the affected series of Bonds for <br />such Sponsoring Public Entity are subject to redemption or prepayment prior to maturity at the <br />option of the Agency, and provided that such request is received in sufficient time prior to the <br />date upon. which such redemption or prepayment is proposed), forthwith shall take or cause to be <br />taken all action that may be necessary under the applicable redemption provisions of such series <br />of Bonds to redeem the Bonds or any part thereof, to the full extent of funds that are either made <br />available for such purpose by the applicable Sponsoring Public Entity or already on deposit <br />under the Bond Resolution and available for such purpose. The redemption of any outstanding <br />Bonds prior to maturity at any time shall not relieve the applicable Sponsoring Public Entity of <br />their absolute and unconditional obligation to pay each remaining Annual Payment Amount with <br />respect to any outstanding Bonds, as specified in the Bond Resolution. <br />Section 3.5 Debt Service on Bonds and Other Bond Funding Reauirements. <br />The parties acknowledge and agree that payments to be made under this Contract will be the <br />primary source available to the Agency to provide the money necessary for the Agency to meet <br />its obligations with respect to a series of Bonds and any Credit Agreements. Each Sponsoring <br />Public Entity therefore agrees to pay the Bond Payments related to the series of Bonds issued for <br />such Sponsoring Public Entity, as outlined in subsections (a) through (c) below, in full when due <br />as provided in this Contract. Bond Payments shall be due by the close of business on the <br />business day prior to each date on which any of the following payments or deposits shall be due <br />and shall be in an amount equal to all such payments and deposits due on such date: <br />(a) debt service on its related series of Bonds and related payments and deposits, as <br />follows: <br />(i) principal of, redemption premium, if any, and interest on, its <br />related series of Bonds, less interest to be paid out of Bond proceeds or from other <br />sources if permitted by any Bond Resolution, and the redemption price of any <br />Bonds to be redeemed prior to maturity when and as provided in any Bond <br />Resolution plus the fees, expenses, and, to the extent permitted by law, <br />indemnities of the Trustee, if any, for the Bonds, and those of the paying <br />agent/registrar for paying the principal of and interest on the Bonds and for <br />authenticating, registering, and transferring Bonds on the registration books; and <br />(ii) deposits required to be made to any special, contingency, or <br />reserve fund by the provisions of any Bond Resolution; and <br />(iii) any deposit in addition thereto required to restore any deficiency in <br />any of such fimds by the provisions of any Bond Resolution, <br />(b) amounts payable by the Agency under a Credit Agreement; and <br />(c) the fees, expenses, and indemnities (to the extent permitted by law) of the <br />remarketing agent, rate setting agent, authentication agent, arbitrage rebate compliance firm, and <br />tender agent, if any, for the Bonds. <br />Section 16 Mine. The Agency will render bills to each of the Sponsoring Public <br />Entities not more than once each month, commencing in April, 2008, for the current payments <br />required by this Contract. Except as otherwise provided in this Contract, the monthly bill for <br />each Sponsoring Public Entity shall be one-twelfth (1/12) of &a amount of that Sponsoring <br />-ZS-
