Public Entity's Annual Payment Amount for the current fiscal year of the Agency. The Agency <br />shall, until further notice, render such bills on or before the 5th day of each month and such bills <br />shall be due and payable on the 26th day of each month or twenty-one (21) days after such bill is <br />deposited into the United States mail, properly stamped and addressed to each Sponsoring Public <br />Entity, whichever is later, and thereafter, to the extent permitted by law, interest shall accrue <br />thereon at the rate of ten per cent (10%) per annum until paid in full. The Agency may, however, <br />from time to time by sixty (60) days' written notice, change the date by which it shall render <br />bills, and all bills shall thereafter be due and payable twenty-one (21) days after such dates as <br />herein provided Each Sponsoring Public Entity shall make all payments in such coin or <br />currency of the United States of America as at the time of payment shall be legal tender for the <br />payment of public and private debts and shall make payment to the Agency at its office in Hays <br />County, Texas or at such other place as the Agency may from time to time designate by sixty <br />(60) days' written notice. <br />Section 3.7 Delinaaency in Payment. If a Sponsoring Public Entity fails to pay <br />any bills when due and payable, the Agency may give written notice of such delinquency to the <br />Sponsoring Public Entity and if all bills due and unpaid, including interest thereon, are not paid <br />within forty-five (45) days after delivery of such notice, then the Sponsoring Public Entity agrees <br />that the Agency shall be authorized, as its option, to institute suit for collection thereof and to <br />collect any amounts due and unpaid, together with interest thereon and reasonable attorneys' <br />fees, and the Sponsoring Public Entity further agrees that the Agency may, as its option, <br />discontinue providing water to the Sponsoring Public Entity until all amounts due and unpaid are <br />paid in full with interest as herein specified. Any such discontinuation of service shall not, <br />however, relieve the Sponsoring Public Entity of its unconditional obligations to make the <br />payments required by this Contract. <br />Section 3.8 Agency's Rights Assigned to Trustee. The Sponsoring Public <br />Entities are advised and recognize that as security for payment of a series of Bonds issued for a <br />Sponsoring Public Entity, the Agency may assign to the Trustee, pursuant to one or more trust <br />indentures (or paying agent/registrar agreements) to be authorized by the Bond Resolution, the <br />Agency's rights under this Contract, including the right to receive payments due from the <br />Sponsoring Public Entities hereunder (but not the right to receive payments, if any, under Section <br />8.13 hereof). The Sponsoring Public Entities herewith assent to such assignment and will make <br />the payments due from them hereunder directly to the Trustee without defense or set-off by <br />reason of any dispute between one or more of the Sponsoring Public Entities and the Agency or <br />the Trustee. All rights against the Sponsoring Public Entities arising under this Contract or the <br />Bond Resolution and assigned to the Trustee may be enforced by the Trustee, or the owners of <br />the Bonds, to the extent provided in the Bond Resolution, and the Trustee, or the owners of the <br />Bonds, shall be entitled to bring any suit, action, or proceeding against the Sponsoring Public <br />Entities, to the extent provided in the Bond Resolution, for the enforcement of this Contract, and <br />it shall not be necessary in any such suit, action, or proceeding to make the Agency a party <br />thereto. <br />Sfctia! Tax-Exemt ids. The parties hereto understand and agree that the <br />Agency will use its best efforts to provide for, but will not be liable for a failure to produce, the <br />lowest overall debt service cost for any series of Bonds to be issued for the Project. In <br />connection therewith, the parties understand that the Agency intends to issttt Bends the interest <br />on which is exchulable from the gross income of the owners thereof for federal income tax <br />-16-
