Section 2.12. The "Term" of this Agreement shall commence on the Effective Date and <br />continue until December 31, 2036, unless sooner terminated by either Party in accordance with <br />the terms of this Agreement. However, the Term of this Agreement shall extend beyond <br />December 31, 2036 for the limited purpose of completing the last Chapter 380 Payment due to <br />Amazon under Article IV of this Agreement and any subsequent payments owed to Amazon due <br />to incorrect calculations or the recovery of previously withheld Chapter 380 Payments. Amazon <br />has the right to terminate this Agreement for any reason by delivering notice to the City at least <br />five business days prior to the desired termination date. <br />ARTICLE III <br />EXECUTION OF THE PROJECT <br />Section 3.01. Job Creation. On or before December 31, 2017, Amazon and its <br />Affiliates (i) shall employ at least 350 persons in Jobs and maintain such level of employment <br />during the Term, and (ii) shall have an annualized aggregate payroll of at least $11,284,000 and <br />maintain such level of payroll during the Term. <br />a. Non - Discrimination. Amazon agrees to ensure (and to cause its <br />Affiliates to ensure) that there will be no unlawful discrimination in employment on the <br />basis of race, creed, color, national origin, sex or disability or violations of any other <br />applicable anti- discrimination laws in connection with the Business. <br />Section 3.02. Addition of Real Property Improvements. Amazon shall cause <br />construction of the Real Property Improvements to be commenced on or before December 31, <br />2015 and to be completed on or before December 31, 2016. Completion of the Real Property <br />Improvements shall be evidenced by a certificate of occupancy issued by the City in accordance <br />with applicable ordinances. <br />W <br />
