AGREEMENT FOR INSTALLATION AND MAINTENANCE CONTRACTOR CORPORATION THIS AGREEMENT is made and entered into as of the 4th day of August, 2015, ( "Effective Date ") by and between the City of San Marcos, a municipal corporation, ( "the City "), 630 East Hopkins Street, San Marcos, Texas 78666 and QueTel Corporation, , a corporation organized and existing under the laws of the Commonwealth of Virginia, ( "the Contractor ") 14100 Sullyfield Circle Suite 700 Chantilly, VA 20151. RECITALS A. The City's Police Department is currently using the Contractor's Evidence TraQ software hosted on the cloud, to track property and physical evidence. B. The City wishes to enhance the capabilities of that software to simplify submission and intake of physical evidence and management of that evidence through to disposition. C. The City, wishes to store, track, and manage digital assets, as well as physical evidence, hosting it, as well on the cloud. D. The City wishes to be able to collect evidence information electronically at the source, at which it seizes (evidence and property) or records digital assets, defined as videos, audio recordings, and still images. E. The City has purchased and uses officer worn video cameras to record officer interaction with the public and wishes to upload and store this information with the digital assets The Contractor will meet these requirements by providing the capabilities and equipment specifications as defined in Exhibit "A ". NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, City and Contractor agree as follows: 1. SCOPE OF WORK The City retains Contractor to perform, and Contractor agrees to render, the Services (the "Services" or the "Project ") that are defined in the attached Exhibit "A ". 2. STANDARD OF PERFORMANCE 2.1 While performing the Services, Contractor will exercise all reasonable professional care and skill customarily exercised by reputable members of Contractor's profession practicing in the Austin, Round Rock, and San Marcos Metropolitan Texas Area, and will use reasonable diligence and best judgment while exercising its professional skill and expertise. 2.2 The Contractor guarantees that it will follow the Criminal Justice Information Services ( "CJIS ") Security Policy in all aspects in their provision of Services to the City.
