AGREEMENT FOR INSTALLATION AND MAINTENANCE <br />CONTRACTOR CORPORATION <br />THIS AGREEMENT is made and entered into as of the 4th day of August, 2015, <br />( "Effective Date ") by and between the City of San Marcos, a municipal corporation, ( "the <br />City "), 630 East Hopkins Street, San Marcos, Texas 78666 and QueTel Corporation, , a <br />corporation organized and existing under the laws of the Commonwealth of Virginia, <br />( "the Contractor ") 14100 Sullyfield Circle Suite 700 Chantilly, VA 20151. <br />RECITALS <br />A. The City's Police Department is currently using the Contractor's Evidence <br />TraQ software hosted on the cloud, to track property and physical evidence. <br />B. The City wishes to enhance the capabilities of that software to simplify <br />submission and intake of physical evidence and management of that evidence through <br />to disposition. <br />C. The City, wishes to store, track, and manage digital assets, as well as <br />physical evidence, hosting it, as well on the cloud. <br />D. The City wishes to be able to collect evidence information electronically at <br />the source, at which it seizes (evidence and property) or records digital assets, defined <br />as videos, audio recordings, and still images. <br />E. The City has purchased and uses officer worn video cameras to record <br />officer interaction with the public and wishes to upload and store this information with <br />the digital assets <br />The Contractor will meet these requirements by providing the capabilities and <br />equipment specifications as defined in Exhibit "A ". <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, City and Contractor agree as follows: <br />1. SCOPE OF WORK <br />The City retains Contractor to perform, and Contractor agrees to render, the <br />Services (the "Services" or the "Project ") that are defined in the attached Exhibit "A ". <br />2. STANDARD OF PERFORMANCE <br />2.1 While performing the Services, Contractor will exercise all reasonable <br />professional care and skill customarily exercised by reputable members of Contractor's <br />profession practicing in the Austin, Round Rock, and San Marcos Metropolitan Texas <br />Area, and will use reasonable diligence and best judgment while exercising its <br />professional skill and expertise. <br />2.2 The Contractor guarantees that it will follow the Criminal Justice Information <br />Services ( "CJIS ") Security Policy in all aspects in their provision of Services to the City. <br />The CJIS Policy provides appropriate controls to protect the full lifecycle of Criminal <br />1 <br />
