exempt from payment of such taxes and the Contractor may retrieve a resale certificate <br />for use on this Project from the State of Texas Comptroller's website. <br />6. LICENSE <br />Contractor grants to the City an irrevocable, nonexclusive, nontransferable <br />license to use all Contractor application Software provided under this Agreement, so <br />long as the contract is in force. <br />7. STATUS OF CONTRACTOR <br />Contractor will perform the Services as an independent contractor and in pursuit <br />of Contractor's independent calling, and not as an employee of the City. The Contractor <br />will be under control of the City only as to the requirements of this Agreement and the <br />results to be accomplished, but will consult with the City as necessary. Neither the <br />Contractor's employees or subcontractors used to provide Services under this <br />Agreement will be considered employees of the City for any purpose. <br />8. PERSONNEL <br />8.1 Contractor's Project Manager. <br />Gayla Robison is the Contractor's Project Manager and /ssa Sa lama is the <br />Contractor's technical Manager for this Project. In addition to the specific duties <br />identified in the Statement of Work contained in "Exhibit A ", the general duties of <br />Contractor's Project Manager include, but are not limited to: (a) functioning as a <br />coordinator between Contractor's staff and the City's staff; (b) coordinating the <br />deployment of Contractor's resources; (c) working with the City's Project Manager to <br />plan all Project activities and tasks; (d) conferring by phone with the City's Project <br />Manager as frequently as deemed necessary by the City to report on the Project's <br />status and resolve outstanding issues; (e) acting as Contractor's point of contact for all <br />matters relating to the Project and this Agreement; (f) providing training for trainers. <br />8.2 City's Project Manager. <br />Tracy Engler is the City's Project Manager for the Project. In addition to the <br />specific duties identified in the Statement of Work contained in Exhibit A, the general <br />duties of the City's Project Manager are: (a) coordinating the assignment of City <br />resources necessary to fulfill the City's obligations under this Agreement; (b) acting as <br />the City's point of contact for all matters relating to the Project and this Agreement; and <br />(c) conferring with the Contractor's Project Manager on planning, implementation, <br />training, and software issues. <br />8.3 Compliance with Work Rules. <br />3 <br />
