ASF = BF + PC + EIC <br />where, <br />ASF = Annual Service Fee <br />BF = Base Fee <br />PC = Pass-through Cost Component <br />EIC = Extraordinary Items Component <br />Each component of the Service Fee shall be determined in accordance with this <br />Article. All filtration equipment for the Oakridge water treatment facility shall <br />be purchased directly by the City at the City's sole expense and such expense <br />shall, consequently, not be included in the Base Fee or in any other charge, <br />Service Fee, Pass-through Cost Component, Extraordinary Items Component or <br />other request for payment or reimbursement from the Authority to the City. <br />2. Section 12.2, subsection (E), Share of Costs of Uncontrollable Circumstances, is <br />hereby amended to read as follows: <br />(E) Share of Costs of Uncontrollable Circumstances. Except with respect to <br />the parties' respective payment obligations, neither the City nor the Authority <br />shall be liable to the other for any failure or delay in performance of any <br />obligation under the Service Agreement due to the occurrence of an <br />Uncontrollable Circumstance. The costs related to the occurrence of an <br />Uncontrollable Circumstance shall be borne first by any available insurance to <br />cover the Uncontrollable Circumstance and secondly by the City except that the <br />Authority shall pay such amounts as would have been covered by any available <br />insurance but for a lapse in coverage due to the failure of the Authority to <br />maintain insurance as required by the terms of this Service Contract. <br />3. Section 10.8 (C), Adjustment to Service Fee is hereby amended by adding the <br />following Service Fee schedule as follows: <br />Current Service Fee effective January 1, 2008 $846,143 <br />Amendment to Contract Section 10.2 deleting the Authority's ($67,500) <br />annual requirement to purchase the Oak Ridge Filters. <br />Amendment to Contract Section 12.2 deleting the Authority's ($25,000) <br />requirement to include in the annual Service Fee $25,000 to be <br />accumulated in a dedicated fund to pay future costs related to <br />Uncontrollable Circumstances. <br />Materials/Supplies to include lubrication oils for the additional $23,558 <br />gear driven equipment, reagents and calibration standards for <br />on-line water quality monitoring equipment and fuel for the <br />emergency generator.
