Capital Area Planning Council -GeoMap 2009 Work Order <br />SANTB T)R.N <br /> <br /> <br /> <br /> <br /> <br /> <br /> <br /> <br />Capital Area Council of Governments <br />This 2009 LiDAR Work Order for Sanborn Products is authorized under the CAPCOG <br />GeoMap cooperative purchase agreement with CAPCOG member agencies. <br />San Marcos, TX - GeoMap Work Order No . ........... 322009152-SMT-01 <br />Terms and Conditions <br />This work order encompasses the production and delivery of Sanborn Products requested under inter- <br />local agreements to which Sanborn is not a party ("ILA'). This work order is being entered into on the <br />basis of the quantity of Products shown below in the ILA between CAPCOG and the City of San <br />Marcos: <br />2' contours generated from customer supplied L.iDAR data.. for 286.51 square miles <br />All Sanborn Product unit rates quoted in this Work Order are those in effect at the time of order <br />placement. All rates used herein are based upon the quantities represented. If the City does not <br />participate in full, or it reduces or terminates the work for any reason the following conditions will <br />become effective: (1) the rates for all remaining work will be increased to reflect the reduced quantities, <br />and (ii) new rates, if applicable become effective. <br />There is no requirement for a performance bond for this Work Order. The license fees quoted do not <br />contain the cost of a bond which would be an additional expense if required by one or more of the <br />member entities. There are no applicable taxes included in this Work Order. CAPCOG shall provide <br />Sanborn wiL the necessary tax exempt certificates for itself and the City. <br />Sanborn shall use its commercially reasonable efforts to produce and deliver the Sanborn Products under <br />this Work Order in a professional and business-like manner and in accordance with the standards and <br />practices recognized in the industry. Sanborn shall not be restricted in its use of subcontractors and <br />suppliers (specifically any socio-economically disadvantaged companies as defined in the U.S. Central <br />Contractors Registry and or the Small Business Administration) as Sanborn, in its sole discretion <br />determine are necessary to meet its obligations under this Work Order. This is fully compliant with <br />CAPCOG's Affirmative Action Procurement Policy. <br />Force Majeure shall mean any events or actions beyond the reasonable control of Sanborn preventing or <br />delaying the execution of or compliance with any of the terms and conditions contained in the <br />Agreement and/or this Work Order, including but not limited to strikes, lockouts, labor shortages, <br />actions or inactions of independent subcontractors and suppliers, power shortages, wars, acts of God, <br />and governmenta regulations, including the restrictions imposed by air traffic control personnel with <br />authority over airspace required for flight operations, restricting normal operations, weather or <br />atmospheric conditions that, in Sanborn's sole discretion, are not conducive for the collection of aerial <br />imagery or terrain data in a manner that is necessary to meet or exceed the requirements of any <br />Deliverable and inability of CAPCOG to provide any specified Sources in a timely manner.
