1.1.8 Installation Date or Cut over Date -means the date on which: <br />a) A Product, or if a phased installation is intended, any portion of a Product, is installed <br />by the Vendor and is performing according to all manufacturer's specifications as <br />verified by the Vendor's standard test procedures; or <br />b) The Vendor delivers a Product to the City, if not to be installed by Vendor; or <br />c) Performance of a MAC or Project Service is completed by Vendor. <br />1.1.9 MAC - means any moves, adds or changes to an installed Product (excluding Product <br />Upgrades). <br />1.1.10 Major Failure - means that service required to bring the equipment back to operational <br />condition when one of the following conditions exists: <br />a) The central or attached processor cannot receive or retrieve information; <br />b) Any attendant console cannot place or receive calls; <br />c) A minimum of 10% of all telephone or data ports cannot place or receive calls or a <br />business affecting Automatic Call Distribution ("ACD") station or group failure; <br />and/or <br />d) A minimum of 20% of all trunks are inoperative or the lead trunk of any trunk group <br />is not working properly <br />1.1.11 Manufacturer Corrective Software Updates - software that includes "bug" fixes or minor <br />revisions that correct errors in existing operations of the software. Updates do not include <br />hardware, software enhancements or software upgrades. <br />1.1.12 Minor Failure- includes all other requests for maintenance not included in 1.1.10. <br />1.1.13 Not Working _Properly - means that, based on the City's determination, the software or <br />hardware is not operating in accordance with the specifications established by the manufacturer. <br />1.1.14 Premises - means your installation or service location as referenced on a Schedule A. <br />1.1.15 Preventative Maintenance - means a routine performed on the System to check all critical <br />components to verify system performance according to the procedures and at the frequency <br />recommended by the manufacturer of the components. <br />1.1.16 Price - will have the meaning as set forth in Article 4 of this Agreement. <br />1.1.17 Product or Products - refers to equipment, Product Upgrades, or MAC purchased and/or <br />Software or Custom Software licensed by the City from the Vendor as an additional transaction <br />under this Agreement. <br />Black Box Telephone Hardware and Software Master Maintenance and Purchase Agreement
