In the event that <br />unds are not appropriated for the next fiscal year to continue the uniform <br />ervice, the City reserves the right to terminate the service agreement <br />Ji th a 30 day written notice without penalty. <br />2. EFFECTIVE DATE. The effective date of this agreement shall be the <br />first day that service is rendered to LESSEE BY LESSOR and the primary <br />term of this agreement as shown in paragraph 1 shall then begin. <br />3. CONDITIONS OF SERVICE. Each employee on the initial order will re- <br />ceive new uniforms. Employees that are added in mid-term will receive <br />uniforms that are of comparable quality to those already in service. New <br />employees will not receive uniforms that are torn, patched, repaired or <br />stained. Uniforms must be to the satisfaction of the supervisor over each <br />department. It is also agreed. that the entire account, every employee will <br />receive new uniforms every twelve (12) months. Uniforms shall have an <br />initial value of $20.00 per suit and shall depreciate at the rate of $1.00 <br />per suit, per month from date of installation. <br />4. RENTAL PAYMENT SCHEDULE. The rental due for each executive type <br />uniform is $1.40 per change per week. For each industrial type uniform <br />$1.15 per change per week. Shop towels have an .06 cents per towel per week <br />with a 17 cents loss charge. It is also agreed that there will not be any <br />increase in the rental price at replacement on anniversary date. <br />5. SERVICE CHARGE. LESSEE agrees to pay an initial service charge in <br />9 he amount of $10.00 for each employee commencing garment rental service <br />ereunder. There will be a $6.00 initial charge at replacement time. <br />6. TITLE. All items shall at all times remain the sole property of the <br />LESSOR. LESSEE agrees to pay a replacement charge equal to the depreciated <br />value of said garment for all garments lost, stolen, destroyed or mutilated. <br />Further, LESSEE agrees to pay for an amount computed as in the preceding <br />sentence for all garments not returned in the event an employees service <br />is terminated or for any reason the garment service herein provided is <br />discontinued. Similarly, LESSEE agrees to pay for other items provided by <br />LESSOR at their stated replacement value. <br />7. EXCLUSIVITY. LESSEE agrees that LESSOR shall be their exclusive <br />supplier of work garments and other required items during the primary term <br />of this agreement, and any renewal thereof. <br />8. REPRESENTATIONS. This agreement constitutes an entirety. Verbal <br />representations not contained herein made either by an employee or agent <br />of LESSOR shall not be binding upon LESSOR unless acknowledged, in <br />writing, by a duly authorized corporate officer, LESSEE agrees with LESSOR <br />that this agreement, while in force, is binding upon their respective heirs, <br />successors, and assigns, <br />DATED ------- THIS 30th -DAY OF December 1981 <br /> <br />LESSEE: <br />A.
