VIDEO SYSTEMS SALE, INSTALLATION & INTEGRATION AGREEMENT <br />CONTRACT NUMBER: 216 -196 <br />This Agreement (the "Agreement") is made and entered into this the P day of May, 2016, <br />by and between Media Rushworks, L.L.C., dba RUSHWORKS, (hereinafter referred to as <br />"RUSHWORKS "), a Limited Liability Company, 800 Parker Square, Suite 200, Flower Mound, <br />Texas, 75028, and the CITY of San Marcos, Texas, (hereinafter referred to as "the CITY "), 630 E. <br />Hopkins, San Marcos, Texas 78666. <br />RECITALS <br />WHEREAS, the CITY wishes to enter into an Agreement with RUSHWORKS for its <br />provision and installation of its VDESK Integrated PTZ Production System and A -LIST <br />BROADCAST Automation System, as well as supply and install other video and audio <br />components to create an integrated end -to -end audio /video operations topology for the benefit <br />of the CITY; and <br />WHEREAS, RUSHWORKS has provided the attached Capex Proposal, Master Signal <br />Flow Diagram and Electrical/Distribution diagram as Exhibits. <br />Exhibit A: RUSHWORKS San Marcos Proposed Executive Summary and Capex with <br />extended ASAP.pdf. This itemizes the components and costs of RUSHWORKS core <br />system solutions ( VDESK and A -LIST) and additional audio /video system components to <br />be acquired and installed; <br />Exhibit B: RUSHWORKS San Marcos Service Level Agreement that defines <br />RUSHWORKS support and Annual System Assurance Program to the CITY of San Marcos <br />for TV broadcast system. <br />Exhibit C: San Marcos Master Signal Flow.pdf which is a simple diagram that indicates <br />the connectivity between and among the components to be installed and integrated as part <br />of this agreement; <br />Exhibit D: Affidavit and Certification of all bill paid. <br />Exhibit E: Authorization of Change in Services which is required for amendments to the <br />Agreement outside of the original scope of services listed in the contract. <br />WHEREAS, the CITY desires to engage RUSHWORKS to render certain services in <br />connection therewith, and RUSHWORKS is willing to provide such services, <br />NOW, THEREFORE, in consideration of the premises and mutual obligations <br />herein, the parties hereto do mutually agree as follows: <br />1. Scone of Services.
