A. RUSHWORKS will communicate directly with the CITY's Director of Communications <br />in order to gather as much information as possible regarding the expectations of the final <br />system operation and performance in preparation for the installation and training. <br />RUSHWORKS will provide a final copy of the Master Signal Flow document (see attached <br />Exhibit C) identifying all requisite installation components and the types of connections to be <br />affected during the go live process. This exhibit identifies video, audio, and data/network <br />connections between and among all installed system components. RUSHWORKS will <br />acknowledge and accept the final document via email communications with the CITY. <br />B. Upon receipt of the Purchase Order, RUSHWORKS will order all the items specified in the <br />attached Capex Proposal, (Exhibit A) and will test each component received. To the extent <br />possible, RUSHWORKS will build the entire system at the RUSHWORKS location and will test <br />it in an environment and connectivity profile that matches the planned configuration for the <br />CITY per the Master Signal Flow in Exhibit C. Certain large components such as furniture <br />and large- format displays may be shipped to the CITY for ease of installation upon agreement <br />from the CITY as to the shipping and delivery dates. All equipment and furniture will be delivered <br />to the CITY of San Marcos media room. <br />C. During the installation, RUSHWORKS will conduct as many site visits as required for the <br />satisfactory completion of Services, during the cabling installation phase to verify and ensure that <br />all cabling is installed to match RUSHWORKS specifications as per Exhibit C. These site visits <br />will be considered a part of the installation labor. <br />D. RUSHWORKS will disassemble and pack all components for shipment, and create an <br />itemized inventory of the shipping containers. Upon shipment, RUSHWORKS will send <br />shipping tracking information to the CITY's Director of Communications. <br />E. The RUSHWORKS' installer will confirm with the CITY's Director of Communications that <br />any and all pre - cabling needed to connect to new installation, which is the responsibility of the <br />CITY, is in place prior to RUSHWORKS installation. RUSHWORKS will be responsible for <br />the installation of the other cabling specified in Exhibit C which includes plenum -rated cables <br />for DC power, video and control from the control room to the specified camera locations, CAT5 <br />data and video connections to the dais, lectern and large monitor positions for presentation <br />distribution, and audio lines for new speakers and microphones at the dais. <br />F. When the RUSHWORKS installer /trainer arrives at the customer facility, the installer <br />will unpack each container and inspect for any transit damages. Any such damages will be <br />photographed and itemized in an email report to the CITY's Director of Communications. <br />Further, any irregularities in the pre - cabling will be resolved by the relevant responsible party <br />as specified in Paragraph E. <br />G. The RUSHWORKS installer will utilize engineering expertise to install the VDESK <br />Integrated PTZ Production System, presentation system and audio systems in the CITY's facility, <br />using for reference the Master Signal Flow document attached hereto as Exhibit C. <br />2 <br />RUSHWORKS /City of San Marcos Systems Upgrade, Installation and Integration Agreement <br />
