H. The installer will provide the initial on -site training of designated support staff and/or <br />operators on the procedures for operating the VDESK and A -LIST systems, including, but not <br />limited to, creating PTZ presets, using the File Browser, creating Playlists, displaying "lower - <br />third" names and titles, selecting presets, transitions and effects, and recording and streaming <br />meetings. Both the CITY and RUSHWORKS understand that the installer /trainer will be <br />on -site at the CITY for at least five (5) working days to perform these S ervices d e s c r i b e d <br />herein. RUSHWORKS will contact the Director of Communications to schedule all installation <br />and training. The Director of Communications will review and approve all installation and <br />training at the end of the installation and training period. The RUSHWORKS service level <br />agreement specified in Exhibit B will begin on the first day the system is in service. <br />I. Within seven (7) business days after the installation is complete and accepted and a test plan <br />provided by RUSHWORKS has been reviewed and accepted by the CITY, and the installer has <br />departed, RUSHWORKS will provide documentation of the as- installed system connectivity, both <br />in printed and PDF formats. This documentation will be provided to the CITY's Director of <br />Communications and IT Business Analyst. <br />J. Before the Services are accepted and at no cost to the CITY, the CITY will receive, for review, <br />a copy of all documents that indicate t he work and/or services performed under this <br />Agreement. <br />2. Time of Performance <br />RUSHWORKS will commence Services on the date of final execution of this Agreement and <br />receipt of Purchase Order. RUSHWORKS will undertake and complete these Services in such <br />sequence /manner as to assure their expeditious completion. The CITY's Director of <br />Communications will suggest available installation dates to RUS14WORKS and those dates will <br />be negotiated and agreed to by RUSHWORKS and the CITY. Subject to actual completion time, <br />as well as availability of all required system components at the time the Purchase Order are <br />received by RUSHWORKS, the parties expressly understand and agree that RUSHWORKS will <br />strive to complete all service required herein, other than those services specified in Sections 14 <br />below within two weeks of the first day of on -site installation. <br />3. Compensation and Method of Payment <br />A. Compensation. For the satisfactory performance of all Services specified in Section 1 hereof, <br />the CITY agrees to pay RUSHWORKS the total amount of $140,868.20 which amount will <br />constitute full and complete compensation for RUSHWORKS' Products and Services under this <br />Agreement, including all expenditures made and expenses incurred by RUSHWORKS associated <br />with the provision of, installation and training in regard to its Products and Services. No changes <br />will be made and no bills for changes, alterations, modifications, deviations, and extra orders will <br />be recognized or paid for except upon a written Authorization of Change in Services (Exhibit E) <br />signed by the CITY and RUSHWORKS prior to the beginning of the work or services covered by <br />the proposed change.
