SECTION E <br />TERMS-AN D CONDITIONS <br />This is a General Services Contract ("Contract") between the Lower Colorado River Authority (the <br />"LCRA") and ("Contractor"), collectively referred to as the <br />"Parties" or individually as a "Party" made for and in consideration of the payment terms and <br />performance obligations herein described. <br />ARTICLE 1. SERVICES TO BE PROVIDED <br />(a) Scope of Work. The services (the "Services") to be provided and all deliverables are described <br />in Section B ("Scope of Work"). <br />(b) Changes. The Contract may be modified to provide for additions, deletions, alterations and <br />revisions in the Scope of Work, schedule, price or to modify the terms and conditions hereof. The "LCRA <br />Authorized Agent" is the LCRA individual responsible for the administration of and changes to this <br />Contract and is the only one authorized for LCRA to make any modifications to the Contract. Any <br />verbal modifications to the Contract shall have no effect. The Contract shall be modified through any of <br />the following documents: <br />(i) "Change Orders". A document signed by the LCRA Authorized Agent and Contractor <br />which changes the Scope of Work or the schedule in the Contract. The changes in the <br />Scope of Work or schedule may result in a corresponding change in contract price, which <br />also may be part of a Change Order. <br />(ii) "Amendment". A document, approved and signed by the LCRA Authorized Agent and <br />Contractor, which changes the Contract in any way other than a Change Order. <br />ARTICLE 2. CONTRACT DOCUMENTS <br />(a) General Definition. In order of precedence, this Contract shall consist of the following <br />documents ("Contract Documents"): <br />1. All written Change Orders executed after the effective date of this Contract by an <br />authorized representative of each Party; <br />2. The Scope of Work; <br />3. This Contract; and <br />4. Any other documents specifically identified as Contract Documents. <br />(b) Exclusion from Contract Documents. No terms and conditions submitted by Contractor that <br />conflict with the terms and conditions contained in this Contract will be considered part of the Contract <br />Documents unless expressly accepted in writing by the LCRA. <br />ARTICLE 3.
