a) Normandy shall maintain proper registration as a lobbying firm under applicable State and <br />1� <br />Federal laws and shall comply with all applicable local, state and federal laws and <br />regulation,,,, including without limitation, those relating to ethics, political contributions <br />r <br />and gifts t(a candidates and public officials. The performance of all services by Normandy <br />under this Agreement will be by persons appropriately licensed or registered when required <br />under local, state and federal laws. <br />b) Henry Bonilla shall be the primary point of contact and will oversee the provision of the <br />Services by Normandy. Christine Pellerin shall be as as secondary contact. The City, <br />however, may communicate with other representatives otNormandy as appropriate, who <br />may be working oil specific projects related to the Services. Normandy may designate <br />another primary point of contact only with the approval of the City. <br />c) In performing the Services, Normandy will use that degree of care and skill ordinarily <br />exercised for similar services by firms that specialize in providing tile types of" services <br />involved under this o <br />d) Any provisions in this Agreement pertaining to the City's review, approval and/or <br />acceptance of written materials prepared by Normandy in connection with this Agreement <br />will not diminish Normandy's responsibility for the materials. <br />e) Normandy will perforill. all Services in coordination with tile City. Normandy will advise <br />tile City of data and information Normandy needs to perform the Services, and Normandy <br />will communicate with City representatives at mutually convenient times to assemble this <br />data and information. <br />f) Normandy shall provide at least trionthly, but amore frequently as appropriate, written <br />reports regarding significant federal legislative and regulatory activities within both the <br />legislative and executive branches of the federal governments affecting the City's interests. <br />g) Normandy shall provide weekly written status reports of its activities related to the <br />Services, <br />h) In performing tile Set-vices, Normandy will comply with all local. , state and federal laws. <br />i) It is anticipated that (luring the tertil Of Our engagement, The Normandy Group will be privy <br />to data or information which is confidential or proprietary to the City Of San Marcos. We <br />agree that such confidential information furnished or disclosed to The Normandy Group <br />shall be maintained in confidence by us, and shall not be disclosed to any person or entity <br />except as authorized in writing by the City of San Marcos. Moreover, The Normandy <br />Group agrees to refrain from accepting or conducting assignments from any person or <br />organization during the term of this engagement which would conflict with Or impair an <br />unbiased performance of the consulting services or other duties under this engagement. <br />Should an issue arise that may become a conflict,'rhe Normandy Group will keep the City <br />apprised of' steps it will take to work with the entities involved and provide <br />recommendations to best resolve the conflict or issue. <br />
