Effective Date; and <br />d. a statement that it is in full compliance Grifols' obligations under this <br />Agreement. <br />Upon receipt of any such form, the City shall have 60 calendar days to notify Grifols in writing <br />of any questions that the City may have with any of the information provided by Grifols, and <br />Grifols shall diligently work in good faith to respond to such questions to the City's reasonable <br />satisfaction. Grifols and the City Manager may agree in writing to variations in the form <br />attached as Exhibit "D" provided the information in this section required to be reported is <br />reported and certified by Grifols in writing to the City. <br />Section 7.03. Review Of Grifols Records. Grifols agrees that the City will have the <br />right to review the business records of Grifols that relate to the Project and Grifols' compliance <br />with the terms of this Agreement at any reasonable time and upon at least seven days' prior <br />notice to Grifols in order to determine compliance with this Agreement. To the extent <br />reasonably possible, Grifols shall make all such records available in electronic form or otherwise <br />available to be accessed through the internet. <br />ARTICLE VIII <br />DEFAULT, TERMINATION AND REMEDIES <br />Section 8.01. Noncompliance with New Improvement Personal Property and Jobs <br />Obligations. If, at the end of any applicable term identified on Exhibit "C" Grifols is not in <br />compliance with the obligations to construct New Improvements, add Personal Property and <br />create Jobs as provided in this Agreement, including compliance with the projections and <br />schedules (subject to any allowances provided in Sections 3.01, 3.02 and 3.03) set forth in <br />Exhibits "B" and "D", the City may, in its sole discretion, withhold Grant Payments that would <br />otherwise be due to Grifols for that year or terminate this Agreement as provided in section 8.03. <br />Page 11 of 22
