in the Project, they will, in good faith, negotiate proposed water treatment rates and water quality <br />standards for treated Downstream Surface Water that is to be delivered back to the City's potable <br />water system. Subject to applicable laws, the proposed rates may provide for recovery of Project <br />costs and may include graduated rate increases or rate adjustments over a stated term. <br />2.09. Final Agreement. Provided the authorized representatives of the Parties reach <br />agreement as to all of the components of the Project outlined in sections 2.04 through 2.07, they <br />shall coordinate to development a proposed final agreement for execution of the Project to <br />completion, to include proposed water treatment rates and water quality standards. The proposed <br />final agreement will then be presented to each Patty's governing body for consideration of <br />approval, <br />2.10. Failure to Reach Agreement. If the authorized representatives of the Parties are, <br />after a good faith attempt, unable to reach agreement on all components of the Project as outlined <br />in sections 2.02 through 2.07, either Party may terminate this agreement by providing at least 3 0 <br />days advance written notice of termination to the other. In such event, each Patty understands <br />and agrees that costs the Party may have incurred under this agreement is the sole responsibility <br />of the Party and neither Patty shall have any duty to reimburse the other for such costs, <br />2.11. Information. Subject to applicable laws, each patty agrees to share all reports, <br />studies, plans, specifications, surveys, appraisals, invoices for expenses and other information <br />generated under this Agreement with the other. Except as specifically prohibited or excepted <br />from required public disclosure under applicable laws (e.g., vulnerable infrastructure data under <br />homeland security laws), such information shall be deemed public information and either Party <br />may release such information pursuant to a Public Information Act request, <br />ARTICLE III <br />
