Normandy, and provide appropriate responses to Normandy on issues requiring a decision or <br />approval by the City. <br />5. Term; Termination of Agreement <br />(a) The term of this Agreement begins on the Effective Date and will end September <br />30, 2011. <br />(b) This Agreement may be terminated for any reason by the City upon at least 60 <br />days' prior written notice to Normandy. <br />(c) In the event of termination as provided in this section, Normandy will be <br />compensated for all services performed through the termination date which are deemed by the <br />City to be in accordance with this Agreement. <br />6. Miscellaneous Provisions <br />(a) This Agreement is governed by the law of the State of Texas. Exclusive venue <br />for any dispute arising under this Agreement is in Hays County, Texas. <br />(b) Normandy hereby affirms that it has not made or agreed to make any valuable gift <br />whether in the form of service, loan, thing, or promise to any person or any of his/her immediate <br />family, having the duty to recommend, the right to vote upon, or any other direct influence on the <br />hiring of consultants to provide the Services to the City. A campaign contribution, as defined by <br />the Texas Election Code or the San Marcos City Code will not be considered as a valuable gift <br />for the purposes of this Agreement. <br />(c) In performing the Services, Normandy will not discriminate against any person on <br />the basis of race, color, religion, sex, national origin, age or disability. <br />(d) Should any provision in this Agreement be found or deemed to be invalid, this <br />Agreement will be construed as not containing the provision, and all other provisions which are <br />otherwise lawful will remain in full force and effect, and to this end the provisions of this <br />Agreement are declared to be severable. <br />(e) The City of San Marcos is governed by the Texas Public Information Act, <br />Chapter 552 of the Texas Government Code (the "Act"). This Agreement and all written <br />information generated under this agreement may be subject to release under the Act. Except as <br />required by law, Normandy shall not make any reports or confidential information received from <br />the City to facilitate the performance of the Services available to any individual or organization <br />without the written approval of the City. <br />(f) Normandy may not assign any obligation under this Agreement without the <br />written consent of the City. <br />3
