Quick Start Implementation Agreement Re: Agreement Addendum #091001 Page 1 of 10 <br />THIS AGREEMENT made this 19rn day of October, 2009. <br />QUICK START IMPLEMENTATION AGREEMENT <br />WITH RESPECT TO LICENSE AGREEMENT ADDENDUM <br />#091001 <br />BETWEEN: HIGH LINE CORPORATION <br />145 Renfrew Drive, Suite 210 <br />Markham, Ontario, Canada <br />L3 R 9R6 <br />(hereinafter referred to as HIGH LINE) <br />and <br />THE CITY OF SAN MARCOS <br />630 East Hopkins <br />San Marcos, TX <br />78666 <br />(hereinafter referred to as CUSTOMER) <br />1 CONTEXT: <br />1.1 CUSTOMER has purchased a License to use HIGH LINE Licensed Software pursuant to <br />a License Agreement Addendum #091001 dated October 19, 2009 between HIGH LINE and <br />CUSTOMER ("License Agreement"). <br />1.2 CUSTOMER has asked HIGH LINE to assist CUSTOMER with installation, <br />implementation and training with respect to the Licensed Software. <br />THEREFORE, HIGH LINE and CUSTOMER hereby agree as follows: <br />2 DEFINITIONS: <br />In addition to any other terms defined in this Agreement, the following terms are defined for the purposes <br />of this Agreement: <br />2.1 "Acceptance Criteria" are as defined in the Implementation Planning Report Document. <br />2.2 "Completion Dates" are as set out in the Implementation Planning Report Document. <br />2.3 "Deliverables" are as defined in the Implementation Planning Report Document. <br />2.4 "License Agreement" means the License Agreement between the parties described above. <br />2.5 "Licensed Software" means the Licensed Software set out in the License Agreement.
