"DTC Participant" - Securities brokers and dealers, banks, trust companies, clearing <br />corporations, and certain other organizations on whose behalf DTC was created to hold securities <br />to facilitate the clearance and settlement of securities transactions among DTC Participants. <br />"Electric Utility System" or "System" means as currently comprised, the City's combined <br />electric, light and power system, which includes all properties, facilities, plants, improvements, <br />equipment, interests and rights currently owned, operated and maintained by the City for the <br />electric light and power system with all future extensions, improvements, purchases, repairs, <br />replacements and additions thereto, whether situated within or without the limits of the City, <br />owned by the City; provided, however, that the City expressly retains the right to (i) sell the <br />Electric Utility System as set forth in Section 6(n) of the Master Ordinance and (ii) incorporate <br />any other Electric Utility System (other than telecommunications system) as provided by the laws <br />of the State as part of the Electric Utility System. The Electric Utility System shall not include <br />any Special Project as provided in the Master Ordinance. <br />"Escrow Agent" means Regions Bank, Houston, Texas or any successor escrow agent <br />under the Escrow Agreement or such other legally qualified institution as may be determined by <br />the Pricing Officer. <br />"Escrow Agreement" means one or more agreements by and between the City and the <br />Escrow Agent relating to refunding the Refunded Obligations. <br />"Federal Securities" - Direct, noncallable obligations of the United States of America, <br />including obligations that are unconditionally guaranteed by the United States of America <br />(including Interest Strips of the Resolution Funding Corporation). <br />"Insurance Policy" - The insurance policy issued by the Bond Insurer guaranteeing the <br />scheduled payment of principal of and interest on the Bonds when due. <br />"Issuance Date" - The date of delivery of the Bonds to the initial purchaser(s) thereof <br />against payment therefor. <br />"Master Ordinance" - The "Master Ordinance Establishing the Electric Utility System <br />Revenue Financing Program," adopted by the City on April 2, 2013, as may be amended or <br />supplemented from time to time. <br />"Maturity" - When used with respect to the Bonds, the scheduled maturity of the Bonds. <br />"Maximum Rate" - A net effective interest rate (as defined in and calculated in accordance <br />with the provisions of the Chapter 1204, Texas Government Code, as amended not to exceed <br />fifteen percent (15%)). <br />"MSRB" - The Municipal Securities Rulemaking Board. <br />"Ordinance" - Collectively, the Master Ordinance and the Second Supplement. <br />A-2 <br />SanMARCOS\ELectricUliLSysRevBonds\2021: 2116uppOrdmiice <br />
