"Owner" - The registered owners of the Bonds as shown on the Security Register and to <br />the extent set forth in a Credit Agreement relating to the Bonds, the parry contracting with the <br />City under a Credit Agreement. <br />"Paying Agent" - The agent selected and appointed by the City for purposes of paying the <br />principal of, premium, if any, and interest on the Bonds to the Owners thereof, as identified in <br />Section 2.03 hereof and any successor to such agent. <br />"Paying Agent/Registrar" - Collectively, the Paying Agent and the Registrar designated in <br />Section 2.03 of this Second Supplement or any successor to such agent. <br />"Paying Agent/Registrar Agreement" - The agreement having such name executed by and <br />between the City and the Paying Agent/Registrar. <br />"Predecessor Bonds" - Predecessor Bonds as defined in Section 2.05(a) hereof. <br />"Pricing Certificate" - Each pricing certificate to be executed and delivered by the City <br />Officers pursuant to Section 2.02 of this Second Supplement relating to a series of the Bonds. <br />"Pricing Officer" means the City Manager, acting as the designated pricing officer of the <br />City to execute the Pricing Certificate. In the absence of the City Manager, the Assistant City <br />Manager or Director of Finance may act as the designated pricing officer of the City to execute <br />the Pricing Certificate. <br />"Rebate Account" - The account by that name described in Section 4.02 hereof. <br />"Record Date" - With respect to each interest payment date of a Bond, the 15'h day of the <br />next preceding month. <br />"Refunded Obligations" means those Refundable Obligations designated by the Pricing <br />Officer in the Pricing Certificate to be refunded. <br />"Refundable Obligations" means all or a portion of the City's outstanding debt obligations. <br />"Registrar" - The agent selected and appointed by the City for purposes of keeping and <br />maintaining books and records relating to the registration, transfer, exchange, and payment of the <br />Bonds and interest thereon, as identified in Section 2.03 hereof and any successor to such agent. <br />"Reserve Account" -The account that was described in Section 4.03 hereof. <br />"Reserve Account Obligation" - Means a surety bond or insurance policy deposited in the <br />Reserve Account to satisfy the Required Reserve Amount whereby the issuer is obligated to <br />provide funds up to and including the maximum amount and under the conditions specified in <br />such agreement or instrument. <br />"Rule" - SEC Rule 15c2-12, as amended from time to time. <br />A-3 <br />SanMARCOS\ELectricUliLSysRevBonds\2021: 2116uppOrdmiice <br />
