ARTICLE III — TERMS <br />3.1 System: <br />(a) The County, through its authority granted by the CECC Agreement, agrees to grant the <br />City use of the System. Each agency will have "View Only" access to the other agency's <br />data, with the exception of the County's Information Technology staff performing system <br />maintenance duties as a part of their responsibilities under this Agreement, may access the <br />records and data of the other. <br />(b) The County will provide and maintain the County and CECC equipment related to <br />providing the City with access to the System. However, each Party is responsible for the <br />maintenance of its own equipment, and the security thereof. <br />(c) The County is not responsible for providing the City's personnel with any training or <br />information technology support ("IT Support") in connection with the City's use of the <br />System. The City may request training or IT Support from the County, and if the County <br />agrees to provide such services, the City will pay to the County the costs of such training <br />or services as may be agreed by the Parties at the time of such request for services. <br />(d) The administration of the System is governed by the CECC Agreement. Any administrative <br />rights possessed by the City or other third parties shall be determined by the Combined <br />Emergency Communications Center management structure pursuant to the CECC <br />Agreement. Regardless of additional administrative rights granted by the CECC, the City <br />will be assigned access rights to perform day-to-day functions, which shall include the <br />management of the City user accounts in the System. The County and the CECC will not <br />be responsible for any loss of data by the City due to its use of the System nor for any <br />interruption of City use. <br />3.2 The County agrees to provide appropriate backup of the City data stored in the System in <br />accordance with the County's and CECC policies. <br />3.3 The City will comply with the applicable Criminal Justice Information System Security <br />standards. <br />3.4 System License: As a condition of this Agreement, the City will, at its own cost, secure <br />such license(s) as may be required directly from the current software vendor in order to <br />access the System on or before ninety (90) calendar days after the Effective Date. This <br />Agreement will automatically terminate in the event the City fails or is otherwise unable <br />to secure such license from the County's current software vendor by such date or in the <br />event the City fails to maintain such license(s) during the term of this Agreement. <br />3.5 System Maintenance. The County or CECC representative will provide five (5) calendar <br />days prior written notice to the City when it will be necessary for the System to be down <br />or not operating, except in cases of an emergency in which case the County or CECC <br />representative will attempt to provide verbal notice as soon as reasonably practical. <br />
