<br /> INITIATIVE SUBRECIPIENT AGREEMENT
<br /> (a)No federal appropriated funds have been paid or will be paid, by or on behalf of the Subrecipient,to
<br /> any person for influencing or attempting to influence an officer or employee of an agency, a Member of
<br /> Congress, and officer or employee of Congress, or an employee of a Member of Congress in connection
<br /> with the awarding of any federal contract,the making of any federal grant,the making of any federal loan,
<br /> the entering into of any cooperative agreement, and the extension,continuation,renewal,amendment, or
<br /> modification of any federal contract, grant, loan, or cooperative agreement.
<br /> (b) If any funds other than federal appropriated funds have been paid or will be paid to any person for
<br /> influencing or attempting to influence an officer or employee of any agency,a Member of Congress, an
<br /> officer or employee of Congress, or an employee of a Member of Congress in connection with this federal
<br /> contract, grant, loan, or cooperative agreement,the undersigned shall complete and submit Standard
<br /> Form-LLL, "Disclosure Form to Report Lobbying"in accordance with its instructions.
<br /> (c) The Subrecipient shall require that the language of this certification be included in the award
<br /> documents for all subawards at all tiers(including subcontracts, subawards, and contracts under grants,
<br /> loans,and cooperative agreements)and that all Subrecipients shall certify accordingly. This certification is
<br /> a material representation of fact upon which reliance was placed when this transaction was made or entered
<br /> into. Submission of this certification,as represented by execution of this Agreement, is a prerequisite for
<br /> making or entering into this transaction imposed by Section 1352,title 31,U.S. Code.Any person who
<br /> fails to file the required certification shall be subject to a civil penalty of not less than$10,000 and not
<br /> more than$100,000 for each such failure. All liability arising from an erroneous representation shall be
<br /> borne solely by the entity filing that representation and shall not be shared by any entity to which the
<br /> erroneous representation is forwarded. Submitting an erroneous certification or disclosure constitutes a
<br /> failure to file the required certification or disclosure,respectively. If a person fails to file a required
<br /> certification or disclosure,the United States may pursue all available remedies, including those authorized
<br /> by section 1352,title 31 of the U.S. Code.
<br /> 2.10.Prohibition on Issuing Financial Assistance Awards to Entities that Require Certain Internal
<br /> Confidentiality Agreements.
<br /> The Subrecipient must not require their employees, subrecipients, or contractors seeking to report fraud,waste, or
<br /> abuse to sign internal confidentiality agreements or statements prohibiting or otherwise restricting such
<br /> employees, subrecipients, or contractors from lawfully reporting such waste,fraud,or abuse to a designated
<br /> investigative or law enforcement representative of a federal department or agency authorized to receive such
<br /> information. The Subrecipient must notify their employees,subrecipients,or contractors that existing internal
<br /> confidentiality agreements covered by this condition are no longer in effect.
<br /> 2.11.Drug-Free Workplace.
<br /> The Subrecipient must make an ongoing, good faith effort to maintain a drug-free workplace pursuant to the
<br /> specific requirements set forth in 41 USC Chapter 81 Drug-Free Workplace.
<br /> 2.12.Prohibition on Certain Telecommunications and Video Surveillance Services or Equipment. (Effective
<br /> 8/13/2020)As required by 2 CFR 200.216,the Subrecipient is prohibited from obligating or expending funds
<br /> awarded under this Agreement to procure or obtain; extend or renew a contract to procure or obtain; or enter into a
<br /> contract(or extend or renew a contract)to procure or obtain equipment, services, or systems that use covered
<br /> telecommunications equipment or services from Huawei Technologies Company,ZTE Corporation,Hytera
<br /> Communications Corporation,Hangzhou Hikvision Digital Technology Company, and Dahua Technology
<br /> Company, or any other company, including affiliates and subsidiaries, owned or controlled by the People's
