AGREEMENT BETWEEN <br /> THE CITY OF SAN MARCOS AND <br /> COMMUNITY ACTION INC. OF CENTRAL TEXAS <br /> FOR THE PROVISION OF YOUTH SERVICES <br /> This Agreement is made as of January 26, 2025 (the "Effective Date"), by and between the City <br /> of San Marcos, Texas, a home rule municipal corporation (the "City"), and Community Action, Inc. of <br /> Central Texas, a Texas non-profit corporation ("CAI"). <br /> In consideration of the mutual benefits to and obligations of the parties, the City and the CAI <br /> agree as follows: <br /> ARTICLE 1 <br /> CAI'S SERVICES <br /> 1.1 CAI agrees to perform the services specifically described in Exhibit 1 and all other <br /> professional services reasonably inferable from Exhibit 1 and necessary for complete performance of <br /> CAI's obligations under this Agreement(collectively, "CAI's Services"). To the extent of any conflict <br /> between the terms in Exhibit 1 and this Agreement,the terms of this Agreement shall prevail. <br /> 1.2 "Additional Services" are services provided by CAI under this Agreement not included in <br /> the CAI's Services and not reasonably inferable from CAI's Services. Additional Services shall be <br /> provided only if authorized or confirmed in writing by the City. Prior to commencing any Additional <br /> Service, CAI shall prepare for acceptance by the City an Additional Services proposal detailing the scope <br /> of the Additional Services and the proposed fee for those services. CAI shall proceed to perform Additional <br /> Services only after written acceptance of the Additional Services proposal by the City. <br /> 1.3 Upon acceptance by the City, each Additional Services proposal and the services <br /> performed by CAI pursuant to such Additional Services proposal shall become part of this Agreement <br /> and shall be subject to all the terms and conditions of this Agreement, including terms and conditions <br /> applicable to CAI's Services. <br /> 1.4 If a party requires a change or amendment to this Agreement or its Exhibits, the Parties <br /> agree to use the Authorization of Change in Services Form in Exhibit 2 to do so. The Authorization of <br /> Change in Services Form must be agreed to and signed by both parties before any change to this <br /> Agreement is effective. <br /> ARTICLE 2 <br /> CAI'S RESPONSIBILITIES <br /> 2.1 CAI agrees to use CAI's best efforts, skill,judgment, and abilities so as to perform CAI's <br /> Services in an expeditious and timely manner consistent with the highest and customary professional <br /> standards of care in the Central Texas region. CAI shall at all times provide sufficient personnel meeting <br /> the qualifications in Exhibit 1 to accomplish CAI's Services in a timely manner. CAI shall manage its <br /> services, administer the delivery of CAI's Services and coordinate other professional services as <br /> necessary for the complete performance of CAI's obligations under this Agreement. <br />
