PROFESSIONAL CONSULTING SERVICES AGREEMENT <br />This Agreement is made this the 15th day of April, 2008, between the City of San Marcos, <br />Texas ("City"), 630 East Hopkins, San Marcos, Texas 78666 and Lockwood, Andrews and <br />Newnam, Inc. ("Consultant") 10101 Reunion Place, Suite 200, San Antonio, Texas 78216-4165, <br />for the provision of professional consulting services in connection with the City of San Marcos <br />Impact Fee Update (the "Project"). <br />The City and the Consultant agree as follows: <br />ARTICLE 1 <br />CONSULTANT'S SERVICES AND RESPONSIBILITIES <br />1.0 STANDARDS OF PERFORMANCE <br />1.0.1 Consultant will be responsible for the proper, accurate and adequate analysis, update and <br />calculation of water and wastewater impact fees for the City (the "Project"). The Project <br />generally includes the preparation of service area maps, the development of the Capital <br />Improvement Plan ("CIP") to serve projected development for the next 10 years, calculation of <br />cost estimates and project capacity and determination of maximum allowable impact fees as <br />defined by state statute. . <br />1.0.2 The Consultant's Basic Services consist of the services described in Sections 1.0 through <br />1.3 and include normal civil engineering services as well as associated planning and <br />development services to be performed by the Mitchell Planning Group, as a subcontractor to the <br />Consultant. <br />1.0.3 The performance of all services by the Consultant in connection with this Agreement will <br />be by persons appropriately licensed or registered under State, local and Federal laws governing <br />their respective consulting disciplines. The Consultant represents that it engages in the business <br />of conducting impact fee analyses and associated services for municipalities, that it has a unique <br />understanding of the knowledge and experience required to accomplish such projects and that it <br />is qualified to provide impact fee analysis services to the City for this Project. In performing all <br />services under this Agreement, the Consultant will use that degree of care and skill ordinarily <br />exercised for similar projects by professional Consultants who possess special expertise in the <br />types of services included in this Agreement. <br />1.0.4 No work under this Agreement will be subcontracted by the Consultant without prior <br />written approval from the City. Any work or services subcontracted under this Agreement shall <br />be specified by separate written Agreement and shall be subject to each provision of this <br />Agreement. <br />1.0.5 Any provisions in this Agreement pertaining to the City's review, approval and/or <br />acceptance of written materials prepared by the Consultant and/or its subconsultants, contractors, <br />LAN Agreement 2008 <br />1 <br />
