PROFESSIONAL CONSULTING SERVICES AGREEMENT This Agreement is made this the 15th day of April, 2008, between the City of San Marcos, Texas ("City"), 630 East Hopkins, San Marcos, Texas 78666 and Lockwood, Andrews and Newnam, Inc. ("Consultant") 10101 Reunion Place, Suite 200, San Antonio, Texas 78216-4165, for the provision of professional consulting services in connection with the City of San Marcos Impact Fee Update (the "Project"). The City and the Consultant agree as follows: ARTICLE 1 CONSULTANT'S SERVICES AND RESPONSIBILITIES 1.0 STANDARDS OF PERFORMANCE 1.0.1 Consultant will be responsible for the proper, accurate and adequate analysis, update and calculation of water and wastewater impact fees for the City (the "Project"). The Project generally includes the preparation of service area maps, the development of the Capital Improvement Plan ("CIP") to serve projected development for the next 10 years, calculation of cost estimates and project capacity and determination of maximum allowable impact fees as defined by state statute. . 1.0.2 The Consultant's Basic Services consist of the services described in Sections 1.0 through 1.3 and include normal civil engineering services as well as associated planning and development services to be performed by the Mitchell Planning Group, as a subcontractor to the Consultant. 1.0.3 The performance of all services by the Consultant in connection with this Agreement will be by persons appropriately licensed or registered under State, local and Federal laws governing their respective consulting disciplines. The Consultant represents that it engages in the business of conducting impact fee analyses and associated services for municipalities, that it has a unique understanding of the knowledge and experience required to accomplish such projects and that it is qualified to provide impact fee analysis services to the City for this Project. In performing all services under this Agreement, the Consultant will use that degree of care and skill ordinarily exercised for similar projects by professional Consultants who possess special expertise in the types of services included in this Agreement. 1.0.4 No work under this Agreement will be subcontracted by the Consultant without prior written approval from the City. Any work or services subcontracted under this Agreement shall be specified by separate written Agreement and shall be subject to each provision of this Agreement. 1.0.5 Any provisions in this Agreement pertaining to the City's review, approval and/or acceptance of written materials prepared by the Consultant and/or its subconsultants, contractors, LAN Agreement 2008 1
