Frontier Health Business Agreement This is an Agreement between Frontier Direct,LLC located at 119 W Van Buren Ave,Ste 10.,Harlingen,TX(herein after referred to as"Frontier"),and the City of San Marcos,Texas(herein after referred to as"The Business"or"the City"). The effective date of this Agreement is December 1,2025, ("Effective Date"). The Project:#2025-175,Concierge Healthcare Provider The Business' Standard Terms and Conditions: The Business and Frontier("the Parties")have read and agree to be bound by the the Business' Standard Terms and Conditions pertaining to contracts with the City of San Marcos when not in conflict with the terms of this Agreement, found at www.sanmarcostx.gov/StandardTennsalidConditions. When the Standard Terms and Conditions are in conflict with this Agreement the terns in this Agreement will prevail. Further; The Parties agree as follows: Services to be Provided by Frontier The Primary Care Provider,who specializes in family medicine,delivers care on behalf of Frontier.In exchange for certain fees paid by"The Business,"Frontier,through its Primary Care Provider,agrees to provide"The Business"with the Services described in this Agreement on the terns and conditions set forth in this Agreement. Frontier agrees to perform Services with the professional skill and care ordinarily provided by competent medical professionals practicing in the same or similar locality and under the same or similar circumstances and professional license and as expeditiously as is prudent considering the ordinary professional skill and care of a competent medical professional. Frontier shall at all times provide sufficient personnel to accomplish Services in a timely manner.Frontier shall manage its services,administer the Project, and coordinate other professional services as necessary for the complete performance of its obligations under this Agreement. Frontier agrees to perform Services in compliance with all applicable national,federal,state,municipal, and State of Texas laws, regulations,codes,ordinances, orders and with those of any other body having jurisdiction over the Project. Frontier shall designate in writing a representative primarily responsible for Frontier's Services under this Agreement. The designated representative shall act on behalf of Frontier with respect to the Project and shall be available as required for the benefit of the Project and the Business.The designated representative shall not be changed without prior written approval of the Business, which approval shall not be unreasonably withheld.
