2. Services.As used in this Agreement,the term Services,shall mean a package of services,both medical and non-medical, <br /> and certain amenities(collectively"Services"),which are offered by Frontier, and set forth in Appendix 1. <br /> 3. Reference Price.As used in this Agreement,the tern Reference Price shall mean the estimated price for a service,stated <br /> as a percentage of Medicare, under the current health plan of The Business, that is utilized for measuring savings. The <br /> Reference Price shall be determined based on a 12-month historic analysis of paid claims or other mutually agreed upon <br /> method. <br /> 4. Term. This Agreement shall commence on the Effective Date and shall continue for a period of three (3) years ("the <br /> Initial Tern"). After the completion of the Initial Tern, the "The Business" will be automatically renewed at the <br /> prevailing plan rate for successive two(2)2-year periods(each, a"Renewal Term")up to a maximum of two(2)2-year <br /> Renewal Terms unless terminated earlier pursuant to the terms of this Agreement. Either party may elect not to renew <br /> this Agreement for any Renewal Term by providing one(1)year written notice of its intent not to renew in which event <br /> this Agreement shall terminate without penalty or further obligation of the parties. <br /> 5. Fees. In exchange for the monthly subscription described herein, "The Business" agrees to pay Frontier, the amount set <br /> forth in Exhibit A, attached. Fees are invoiced and payable on the tenth day of each month(e.g.,the January 10 invoice <br /> covers January services). Frontier will provide a draft invoice at the beginning of each month to allow"The Business"to <br /> request necessary adjustments. The subscription fee for that month will be past due if fees are not paid by the last day of <br /> the month. For clarity,the monthly subscription includes services as outlined in Appendix 1 titled"Covered Services." <br /> a. Payment Incentives. To encourage timely payments and payments via Frontiers platform, Frontier offers an <br /> automatic discount when full payment is received by the 10th and made through Frontier's designated payment <br /> system. This incentive is reflected in Exhibit A and is subject to change at Frontier's sole discretion. <br /> b. Overdue Charges. If full payment is not received by Frontier by the last day of the billing month, the invoice <br /> will be considered overdue,and a late charge of 1.5%per month(or the maximum allowed by law as permissible <br /> and in conjunction with the applicable provisions of the Texas Prompt Payment Act.) will be applied to the <br /> outstanding balance. "The Business" shall be responsible for all costs incurred by Frontier in collecting overdue <br /> amounts, including,but not limited to, collection agency fees and attorney's fees. <br /> c. Maximum Service Fees. The maximum fee for Services shall not exceed the rates listed below and as set forth <br /> in Exhibit A: <br /> $80 per Employee Only enrollment <br /> $160 per Employee+Spouse enrollment <br /> $160 per Employee+Child(ren)enrollment <br /> $240 per Employee+Family enrollment <br /> Additional Services: Frontier's Compensation for any approved Additional Services shall be as described in the <br /> Additional Services Proposal accepted by the Business. <br /> 6. Non-Participation in Insurance. "The Business" acknowledges that neither Frontier, nor the Primary Care Provider, <br /> participates in any health insurance or HMO plans or panels and does not bill Medicare.Neither of the above makes any <br /> representations whatsoever that any fees paid under this Agreement are covered by your health insurance or other third- <br /> party payment plans applicable to "The Business." "The Business" shall retain full and complete responsibility for any <br /> such determination. Generally, and subject to the eligibility requirements of "The Business," if the Member elects <br /> Medicare as their primary insurance payor,the Member will not be eligible for the Services.However,if"The Business" <br /> determines that the Member is eligible for the Services, the Member may be required to sign a Medicare <br /> 2 <br />
