1.0.4 Any provisions in this Agreement pertaining to the City's review, approval and/or <br />acceptance of written materials prepared by the Vendor and/or its subconsultants, contractors, <br />and subcontractors in connection with this Agreement will not diminish the Vendor's <br />responsibility for the materials. <br />1.0.5 The Vendor will provide Products and perform Services in coordination with the City, <br />and the City's consultants, contractors and other vendors. The Vendor will advise the City of <br />data and information the Vendor needs in order to provide these Products and perform these <br />Services. The Vendor will meet with the City representatives at mutually convenient times to <br />assemble any pertinent data and information. In addition, the City will rely on the Vendor to <br />provide information regarding changes/upgrades to the System and/or general information about <br />new products. The City and the Vendor will meet as needed to evaluate the Vendor's <br />performance. <br />1.0.6 Mike McAleer, President, Sam Williams, Director of Operations and Ray Evans, Lead <br />Systems Engineer are the Vendor's representatives assigned to this project. The Consultant will <br />not substitute another representative for this project unless approved in writing by the City in <br />advance of such proposed substitution. In the event the City and the Vendor cannot agree to the <br />substitution of the Project Representative, the City may terminate this Agreement in accordance <br />with Article 7. <br />1.1 SCOPE OF WORK <br />The Vendor will provide a complete turnkey System as detailed in the attached Software <br />License Agreement, Attachment A, Table of Functional Requirements, Attachment B (the "must <br />have" criticality level), the Table of Technical Requirements, Attachment C (the "must have" <br />priority level), the Cost Proposal and Cost Proposal Details, Attachment D, the Project Approach <br />Plan, Attachment E (items listed) and as further detailed. <br />1.1.1 Products. The Vendor will provide all licensed software and hardware associated with <br />this System, including all necessary peripherals and equipment as follows and as further <br />specified in the aforementioned attachments to include: <br />a) Motorola MC75 Hand Held Ticket Writers; <br />b) Zebra RW420 Bluetooth printers; <br />c) Motorola MC75 docking station/cradle (one bay and four bay cradles); <br />d) Brazos e Citation Mobile ticket writer software; <br />e) Administrative software; <br />f) Server software; <br />g) Interface software; and <br />h) All associated necessary peripheral equipment. <br />The City is not limited to the procurement of the aforementioned Products, but may purchase <br />additional Products in accordance with sub-section 1.4 of this Agreement and as they may be <br />specified in a future Project Approach Plan. <br />Brazos Technology, Hand Held Ticket Writer System Agreement <br />2
