7. Relative to Debt Service Requirements and Sufficiency of Rates. The average <br />annual debt service requirement for the City's obligations with respect to the Bonds and the <br />Outstanding Bonds is shown on Exhibit "E" attached hereto ("Debt Service"). The City has <br />covenanted in the Contract to establish, assess, and collect rates sufficient to make contract <br />payments sufficient to pay the "Annual Payments" including Bond Payments to pay the City's Debt <br />Service on the Bonds and the Outstanding Bonds. To the extent the amount available for debt <br />service (as shown on Exhibit "D" "Available for Debt Service") is insufficient to cover the Debt <br />Service and the City's existing contractual obligations, the City covenants to increase its rates in <br />an amount sufficient to pay the difference. <br />8. Relative to the Contract. The Contract has been duly authorized and is in <br />compliance with any applicable statutory requirements. The Contract, as submitted to the Attorney <br />General of Texas, is still in full force and effect and, except as disclosed herein, has not otherwise <br />been amended or rescinded. No litigation is pending or to the best of our knowledge, threatened <br />concerning the title or authority of the City Officials or concerning the Contract. The Bond <br />Resolution (as defined in the Contract) and the Sale and Offering Documents (as defined in the <br />Contract) comply with the Contract. The City has approved the Bond Resolution authorizing the <br />issuance of the Bonds and acknowledges that the payment of principal of and interest on such <br />Bonds is payable from the Bond Payments to be made by the City under and pursuant to the <br />Contract. <br />9. Relative to Signature Identification. Appearing below are the true and correct <br />signatures of the persons holding the offices of Mayor and City Clerk, respectively. By her <br />signature hereon, the Mayor certifies that the signature of the City Clerk appearing hereon is her <br />genuine signature and by her signature hereon, the City Clerk certifies that the signature of the <br />Mayor appearing hereon is her genuine signature. The true and correct signature of the Authorized <br />Representatives of the City pursuant to the Contract is set forth in Exhibit "F" attached hereto. <br />10. Authorization of Attorney General to Date Certificate. Upon the approval of the <br />Bonds by the Attorney General of the State of Texas, he is authorized to date this certificate as of <br />the date of such approval. If any litigation should develop, or if any other event should occur <br />which should make this certificate inaccurate before the Attorney General's approval of the Bonds, <br />we will notify the Attorney General at once by both telephone and facsimile transmission. With <br />this assurance, the Attorney General is entitled to rely on the accuracy of this certificate at the time <br />of approval of the Bonds unless we advise him otherwise. <br />11. No Litigation. No litigation of any nature has ever been filed pertaining to, <br />affecting or contesting: (a) the Resolution or the Bond Resolution; (b) the issuance, delivery, <br />payment, security or validity of the Bonds; (c) the authority of the City Council and the officers of <br />the City to execute and deliver the Contract or the Approval Certificate related to the Resolution <br />or the Bond Resolution; (d) the validity of the corporate existence of the City and (e) no litigation <br />is pending pertaining to, affecting, questioning or contesting the corporate existence or current <br />boundaries of the City. <br />2 <br />ARWA SM 22C: General Certificate <br />
