EXHIBIT5A <br />FEDERAL,STATE,ANDLOCALREQUIREDPROVISIONS <br />A.NATIONALOBJECTIVES <br />AllactivitiesfundedwithCDGBDRfundsmustmeetoneoftheCDBGDRƦƩƚŭƩğƒƭNationalObjectives:(a) <br />benefitlowandmoderateincomepersons;(b)aidinthepreventionoreliminationofslumsorblight;or <br />(c)meetcommunitydevelopmentneedshavingaparticularurgency,asdefinedin24CFR570.208.The <br />ContractorcertifiesthattheactivitiescarriedoutunderthisAgreementwillmeetaNationalObjective. <br />B.COPELANDANTIKICKBACKACTCOMPLIANCE <br />TheContractorwillcomplywiththerequirementsof29CFRPart3(theCopelandAct).The"AntiKickback" <br />sectionoftheActprecludesacontractororsubcontractorfrominducinganemployeeinanymannerto <br />giveupanypartofhis/hercompensationtowhichhe/sheisentitledunderhis/hercontractofemployment. <br />C.CONFLICTSOFINTEREST(24CFR570.611;2CFR200.112AND200.318(c);24CFR85.35;AND24 <br />CFR84.42 <br />TherearetwosetsofconflictofinterestprovisionsapplicabletoactivitiescarriedoutwithCDBGfunding. <br />Thefirstset,applicabletotheprocurementofgoodsandservicesbysubrecipients(fundedapplicants),is <br />theprocurementregulationslocatedat24CFR84.42and85.36.Thesecondsetofprovisionsislocatedat <br />24CFR570.61l(a)(2).Theseprovisionscoversituationsnotcoveredbyparts84and85. <br />Withrespecttoprocurementactivities,theContractormustmaintainwrittenstandardsofconduct <br />governingtheperformanceofitsemployeesengagedintheawardandadministrationofcontracts.Ata <br />minimum,thesestandardsmust: <br />1)Requirethatnoemployee,officer,oragentmayparticipateintheselection,award,oradministration <br />ofacontractsupportedbyfederalfundsifarealorapparentconflictwouldbeinvolved.Suchaconflict <br />wouldarisewhenanyofthefollowingpartieshasafinancialorotherinterestinthefirmselectedfor <br />anaward: <br />a)Anemployee,officer,oragent'oftheContractor; <br />b)Anymemberofanemployee's,officer's,oragent'simmediatefamily; <br />c)Anemployee's,agent's,orofficer'spartner;or <br />d)Anorganizationwhichemploysorisabouttoemployanyofthepersonslistedinthepreceding <br />sections. <br />2)Requirethatemployees,agents,andofficersoftheContractorneithersolicitnoracceptgratuities, <br />favors,oranythingofvaluefromcontractors,orpartiestosubagreements.However,Contractorsmay <br />setstandardsforsituationsinwhichthefinancialinterestisnotsubstantialorthegiftisanunsolicited <br />itemofnominalvalue. <br />3)Providefordisciplinaryactionstobeappliedforanyviolationsofsuchstandardsbyemployees,agents <br />orofficersofthesubrecipient. <br />WithrespecttoallotherCDBGassistedactivities,thegeneralstandardisthatnoemployee,agentor <br />officerofthesubrecipient,whoexercisesdecisionmakingresponsibilitywithrespecttoCDBG <br />fundsandactivitiesisallowedtoobtainafinancialinterestinorbenefitfromCDBGactivities,or <br />haveafinancialinterestinanycontract,subcontract,oragreementregardingthoseactivitiesorin <br />REV06.22.22Page1of7 <br />Page 24 of 44 <br /> <br />
