<br />J. The Chamber shall not assign any interest in this Agreement nor delegate the performance <br />of any of its duties without the prior written consent of the City. <br />2. MINORITY ECONOMIC DEVELOPMENT AND TOURISM DEVELOPMENT ADVISORY BOARD <br /> <br />A. The Advisory Board will advise and provide oversight for the Chamber's performance <br />under this Agreement. <br /> <br />B. The Advisory Board shall be responsible for reviewing and providing advice to the City <br />Council on the budget for this Agreement. The budget shall contain an itemization of proposed <br /> <br />expenditures for office space, personnel, equipment, supplies, vehicles, and other expenses to be <br />incurred by the Chamber in performing this Agreement. <br /> <br />C. ED Funds provided to the Chamber by the City under this Agreement shall be expended <br />with the advice and consent of the Advisory Board, and not with the advice and consent of the <br /> <br />Chamber Board. <br />D. Purchases made with ED Funds which exceed $1000 in amount shall be made from the <br /> <br />low responsible bidder, and at least three bids shall be obtained for each such purchase. Purchases <br />made with ED Funds shall not be restricted to Chamber members. <br /> <br />E. The Chamber shall obtain the advice and counsel of the Advisory Board as to the hiring <br />and firing of management-level Chamber employees responsible for activities under this Agreement. <br /> <br />The Chamber President has day-to-day management responsibilities for Chamber employees <br />involved in activities under this Agreement. <br /> <br />G. The Advisory Board and the Chamber shall each designate two officers authorized to co- <br />sign checks written on all accounts for ED Funds. The signature of at least one official of each <br /> <br />organization is required on all checks over $250 in amount written on accounts for ED Funds. <br />Checks in the amount of $250 or less written on these accounts require only one official signature. <br /> <br />H. The Chamber shall give advance public notice of meetings of the Advisory Board, and <br />shall allow members of the public to attend these meetings. The Advisory Board is subject to State <br />laws and City ordinances which apply generally to City boards and commissions, including those <br /> <br />requiring disclosure of conflicts of interest and abstention fÌ'om participation in decisions involving <br />conflicts of interest. The Chamber shall provide facilities and staffing for meetings of the Advisory <br /> <br />Board, and shall keep minutes of meetings of the Board. The Chamber shall provide a copy of the <br />minutes of each Advisory Board meeting to the City. <br /> <br />3 <br />
