<br />Parties. <br /> <br />1.2. Engagement of Engineer for Phase 1 Project. The Parties agree that the Phase 1 Project <br />Manager will contract for and arrange for payment of all engineering and survey services needed for <br />all phases of construction ofthe Phase 1 Project, including, without limitation, the preliminary design, <br />final design, bidding, construction administration, and warranty inspection phases. The engineer <br />engaged by the Phase 1 Project Manager (the "Phase 1 Engineer") must be a professional engineer <br />registered in the State of Texas. The Phase 1 Project Manager will provide a copy of the Phase 1 <br />Project Manager's contract with the Phase 1 Engineer to each of the Parties. <br /> <br />1.3. Engineer's Services for Phase 1 Project. The Parties agree that the Phase 1 Project Manager <br />will ensure that all construction work on the Phase 1 Project is performed under the supervision and <br />oversight of the Phase 1 Engineer, including the following: <br />A. The Engineer will coordinate the design and construction ofthe Phase 1 Proj ect with the Phase <br />1 Project Manager and the City. <br />B. The Phase 1 Engineer will prepare plans and specifications for the Phase 1 Project in accordance <br />with City design and construction standards and with applicable laws and regulations, and <br />submit them to the Phase 1 Project Manager and the City for review and approval. The Phase <br />1 Engineer will provide a copy of the plans and specifications to all Parties for their information. <br />The Phase 1 Engineer will assist the Phase 1 Project Manager in obtaining all necessary permits <br />for the Phase 1 Project from authorities having jurisdiction over the Phase 1 Project (including <br />but not limited to the City and railroad companies). <br />C. The Phase 1 Engineer will prepare construction contract documents, and provide to the City a <br />complete set of the documents, executed by the Phase 1 Project Manager and the construction <br />contractor (the "Phase 1 Contractor"). <br />D. The Phase 1 Engineer will perform periodic inspections of the work in progress at least monthly <br />throughout the construction period, will coordinate the inspections with the City's Department <br />of Environment and Engineering, and will provide written progress reports to all of the Parties <br />based on the inspections. <br />E. The Phase 1 Engineer will review and render timely decisions on all contractor submittals, <br />including shop drawings, samples and as-built drawings. <br />F. The Phase 1 Engineer will review, consult with the City and the Phase 1 Project Manager, and <br />render decisions on all requests by the Phase 1 Contractor for significant changes to the plans, <br />specifications or other construction docunlents. <br />G. The Phase 1 Engineer will determine the amounts owing to the Phase 1 Contractor based on the <br />Phase 1 Engineer's on-site inspections and on evaluations of the Phase 1 Contractor's <br />applications for payment. <br />H. The Phase 1 Engineer will make recommendations to the Phase 1 Project Manager and the City <br />on the rejection of work which does not conform to the construction contract documents. <br />I. The Phase 1 Engineer will prepare minor changes in the plans and specifications as directed by <br />the Phase 1 Project Manager, and notify the City of all such changes; and will prepare necessary <br />change orders for approval by the Phase 1 Project Manager and the City. <br />J. The Phase 1 Engineer will conduct inspections to determine the dates of substantial completion <br />and final completion for the Phase 1 Project, issue final certificates for payment or take other <br />appropriate action, and make a written recommendation to the Phase 1 Project Manager and the <br />City regarding the acceptance of the Phase 1 Project. <br /> <br />2 <br />
