ATTACHMENT E <br />General Contract Provisions <br />Article 1: Legal Authority and Indemnification <br />The SUBCONTRACTOR warrants and assures CAPCOG that it possesses adequate legal <br />authority to enter into this Contract. The SUBCONTRACTOR'S governing body where applicable <br />has authorized the signatory official(s) to enter into this Contract and bind the SUBCONTRACTOR <br />to the terms of this Contract and any subsequent amendments hereto. The SUBCONTRACTOR <br />agrees to adhere to the provisions of Section 361.014 of the Texas Health and Safety Code, Title 30 <br />Texas Administrative Code section 330.569, to the provisions of section 330.59 of the TNRCC <br />Municipal Solid Waste Regulations, this agreement and the Uniform Grant Management Standards <br />("UGMS"). <br />Indemnification <br />(a) To the extent allowed by Texas law, SUBCONTRACTOR agrees at its own expense to <br />defend CAPCOG and TCEQ, their governing body members, officers, employees, and <br />agents, against any claim, suit, or administrative proceeding, and to indemnify them <br />against any liability (including all expenses and reasonable counsel fees incurred), arising <br />out of any act or omission of SUBCONTRACTORSs governing body member, officer, <br />employee, or agent under this Contract. <br />(b) If SUBCONTRACTOR is served with process in a suit or proceeding described in <br />Subsection (a), SUBCONTRACTOR agrees to furnish CAPCOG promptly with a copy of <br />the process. <br />(c) SUBCONTRACTOR agrees that its indemnification obligations under Subsection (a) apply <br />to causes of action accruing during the term of this Contract, and that for this purpose the <br />obligations will survive the ending or early termination of this Contract. <br />Article 2: Scope of Services <br />The services to be performed by the SUBCONTRACTOR are herewith outlined in the General <br />Contract Provisions (Attachment E) and the Special Contract Provisions (Attachment A), which are <br />hereby incorporated into and made a part of this Contract as if set out word-for-word herein. <br />Article 3: Purpose <br />(a). The purpose of this Contract is to accomplish the goals of the Solid Waste Disposal Act of <br />1989, as amended, as they relate to distributing solid waste fee revenue funds to support <br />local and regional solid waste projects consistent with the regional solid waste management <br />plans approved by the TCEQ and to update and maintain those plans. <br />CAPCOG FY2009 Solid Waste Interlocal Contract 22
