ARTICLE 2 <br />STATEMENT OF WORK <br />2.1 Subrecipient agrees to utilize the grant funds it receives under this Agreement to perform the <br />services identified in the Statement of Work for the entire term of the Agreement and in compliance with <br />all the terms and conditions specified in this Agreement. Subrecipient, in providing the services <br />hereunder, will be an independent contractor, and not an agent of the City. In consideration of the <br />continued performance of the Subrecipient's services, the City will make payments to the Subrecipient as <br />provided in Article 10. <br />2.2 Subrecipient agrees to notify the City of any changes in the Statement of Work. Subrecipient will <br />obtain approval from the City prior to commencing work on any modifications made to the Statement of <br />Work. <br />ARTICLE 3 <br />RECORDS AND REPORTS <br />3.1 Prior to receipt of funds, Subrecipient will furnish the City with itemized invoices detailing all <br />expenditures in compliance with the Statement of Work. <br />3.2 The Subrecipient will provide the City with quarterly written reports detailing the project <br />accomplishments and expenditures. Reports will include information on the number of requests for <br />assistance achieved, the number of applicants that met income eligibility requirements, the number of <br />energy assessments completed and the number of weatherization/appliance retrofits completed. <br />Reports are due to the City on the following dates: <br />January 10th <br />April 10th <br />July 10t <br />October 10th <br />3.3 The Subrecipient will maintain all records of its services as outlined in Exhibit A, Statement of <br />Work. <br />3.4 All records of the Subrecipient will be kept in an organized and recognizable format acceptable to <br />the City. The City, DOE and any other federal agency that may exercise jurisdiction over the expenditure <br />of EECBG Program funds will have access to any books, documents, papers and records of the <br />Subrecipient, which are directly pertinent to this Agreement for making audit, examination, excerpts and <br />transcriptions. <br />ARTICLE 4 <br />UNIFORM ADMINISTRATIVE REQUIREMENTS <br />4.1 Subrecipient will comply with the applicable uniform administrative regulations published by the <br />Office of Management and Budget (the "OMB"), as those regulations relate to the application, acceptance <br />and use of federal funds for federally assisted services. Subrecipient is encouraged to obtain the <br />necessary materials and information from the City for the purpose of compliance with this Section. <br />Failure of the Subrecipient to obtain the necessary information specified in this Section will not relieve it <br />from compliance with the applicable regulations. <br />Subrecipient Agreement 2
