<br />hereinafter levied by the City except none of the provisions <br /> <br />in this Agreement shall in <br /> <br />anywise affect the liability <br /> <br />of <br /> <br />the Telephone <br /> <br />Company for <br /> <br />the payment <br /> <br />of any <br /> <br />present <br /> <br />or <br /> <br />future ad valorem taxes now or hereafter levied by the City <br />or any other lawfully constituted taxing authority. The <br />Telephone Company shall furnish annually on March 15th of <br /> <br />each year a verified statement <br /> <br />under oath of all the <br /> <br />gross <br /> <br />receipts of <br /> <br />the Telephone <br /> <br />Company <br /> <br />from the <br /> <br />rendition <br /> <br />of <br /> <br />local exchange telephone service within the corporate limits <br /> <br />of the City for the prior calendar year. <br /> <br />"Local exchange telephone <br /> <br />service" shall include, <br /> <br />but <br /> <br />not be <br /> <br />limited <br /> <br />to, <br /> <br />subscriber <br /> <br />station <br /> <br />revenues, <br /> <br />public <br /> <br />telephone <br /> <br />revenues, <br /> <br />local <br /> <br />private <br /> <br />line <br /> <br />services, <br /> <br />connections, moves and changes, within the corporate <br /> <br />limits <br /> <br />of the City, as it now exists or as it may be later <br /> <br />changed <br /> <br />by annexation or deannexation ordinances. <br /> <br />SECTION 10: <br /> <br />Right to Verify Accounts. <br /> <br />The City shall have the <br /> <br />right at all reasonable <br /> <br />times <br /> <br />acting through <br /> <br />its governing <br /> <br />body or <br /> <br />designated <br /> <br />officer, <br /> <br />attorney, representative, or agent to inspect, review, audit <br /> <br />and examine <br /> <br />all the <br /> <br />books, records <br /> <br />and invoices <br /> <br />used <br /> <br />in <br /> <br />calculating the three (3%) percent gross receipts payment to <br /> <br />the City. <br /> <br />SECTION 11: <br /> <br />No Exclusive Privileges Conferred. <br /> <br />Nothing herein contained shall <br /> <br />be construed as <br /> <br />giving <br /> <br />to the Telephone <br /> <br />Company any exclusive <br /> <br />privilege or <br /> <br />fran- <br /> <br />chise. <br /> <br />SECTION <br /> <br />12: <br /> <br />Successors and Assigns. <br /> <br />All <br /> <br />rights, <br /> <br />powers, limitations, duties and restrictions herein provided <br /> <br />for shall inure to <br /> <br />and be binding <br /> <br />upon the parties <br /> <br />hereto <br /> <br />and their respective successors and assigns. <br /> <br />SECTION 13: <br /> <br />Right To Void For Breach of Contract. <br /> <br />Violation of or failure or <br /> <br />refusal on the part of <br /> <br />the <br /> <br />Telephone Company to <br /> <br />perform, or <br /> <br />in good <br /> <br />faith begin <br /> <br />and <br /> <br />continue performance, <br /> <br />of any <br /> <br />of the <br /> <br />terms and <br /> <br />provisions <br /> <br />hereof after thirty (30) days <br /> <br />written notice from the <br /> <br />City <br /> <br />of such claim, failure or <br /> <br />violation shall, at the <br /> <br />election <br /> <br />Page <br /> <br />5 of 7 <br />
