<br />of the City, <br /> <br />be treated as <br /> <br />a breach of <br /> <br />the terms of <br /> <br />this <br /> <br />ordinance and <br /> <br />Agreement <br /> <br />and failure <br /> <br />on <br /> <br />the part <br /> <br />of <br /> <br />the <br /> <br />Telephone Company due to its negligence or refusal to well <br />and truly perform or attempt in good faith to perform any of <br />its duties hereunder shall be treated as a breach of this <br /> <br />agreement, <br /> <br />ordinance <br /> <br />and <br /> <br />franchise <br /> <br />and <br /> <br />this <br /> <br />ordinance, <br /> <br />agreement and franchise shall, thereupon, at the election of <br /> <br />the City, become inoperative. <br /> <br />SECTION 14: <br /> <br />Partial Invalidity and Repeal Provisions. <br /> <br />All ordinances and agreements <br /> <br />and parts of <br /> <br />ordinances <br /> <br />and agreements in conflict herewith are hereby repealed only <br /> <br />to the extent of the conflict herewith. <br /> <br />SECTION 15: <br /> <br />If <br /> <br />any <br /> <br />section, <br /> <br />sentence, <br /> <br />clause, <br /> <br />or <br /> <br />phrase of <br /> <br />this <br /> <br />ordinance is <br /> <br />for <br /> <br />any reason <br /> <br />held <br /> <br />to <br /> <br />be <br /> <br />illegal, ultra vires, unlawful, unenforceable or unconstitu- <br /> <br />tional, such invalidity shall not affect the validity of the <br /> <br />remaining portions of this ordinance. <br /> <br />SECTION 16: <br /> <br />The Telephone <br /> <br />Company shall have <br /> <br />fifteen <br /> <br />(15) days from and after <br /> <br />the final passage and approval <br /> <br />of <br /> <br />this ordinance to file <br /> <br />its written acceptance thereof <br /> <br />with <br /> <br />the City Secretary, and upon such acceptance being filed, or <br /> <br />after fifteen (15) days from <br /> <br />third passage and approval <br /> <br />of <br /> <br />this ordinance <br /> <br />and <br /> <br />upon <br /> <br />the <br /> <br />exercise <br /> <br />by <br /> <br />the <br /> <br />Telephone <br /> <br />Company of any of its rights hereunder, this ordinance shall <br /> <br />be considered as taking effect and being in force and effect <br /> <br />from and after thirty (30) days from its passage and approv- <br /> <br />al and shall <br /> <br />effectuate and make <br /> <br />binding upon the <br /> <br />parties <br /> <br />hereto, their successors and assigns, the agreement provided <br /> <br />by the terms hereof. <br /> <br />PASSED AND APPROVED on first reading on the ~ day <br />March , 1987. <br /> <br />of <br /> <br />of <br /> <br />PASSED AND APPROVED on second <br />March,1987. <br /> <br />reading on the 23 <br /> <br />day <br /> <br />PASSED AND APPROVED on <br />April,1987. <br /> <br /> <br />eading on the 13 day <br /> <br />of <br /> <br />Page <br /> <br />6 of 7 <br />
