<br />Exhibit A <br /> <br />128 <br /> <br />THE STATE OF TEXAS <br /> <br />LICENSE AGREEMENT <br /> <br />THE COUNTY OF HAYS <br /> <br />KNOW ALL PERSONS BY THESE PRESENTS: <br /> <br />THIS AGREEMENT is effective from and after its execution by both <br /> <br />parties <br /> <br />as <br /> <br />indicated <br /> <br />below <br /> <br />and <br /> <br />is <br /> <br />between <br /> <br />SOUTHWEST <br /> <br />TEXAS <br /> <br />STATE <br /> <br />UNIVERSITY, <br /> <br />hereinafter <br /> <br />called <br /> <br />"Licensor" , <br /> <br />and <br /> <br />CITY <br /> <br />OF <br /> <br />SAN <br /> <br />MARCOS, <br /> <br />TEXAS, hereinafter call1ed "Licensee". <br /> <br />ARTICLE I. <br /> <br />1. <br /> <br />Term: <br /> <br />This <br /> <br />agreement <br /> <br />shall <br /> <br />take <br /> <br />effect the date written <br /> <br />below, and unless sooner terminated as provided herein, <br /> <br />shall continue <br /> <br />in force so long as used for the purpose herein set out. <br /> <br />2. <br /> <br />Consideration <br /> <br />and <br /> <br />Description: <br /> <br />In <br /> <br />consideration <br /> <br />of <br /> <br />the <br /> <br />abandonment of certain street and alley rights-of-way by Licensee to <br /> <br />Licensor, <br /> <br />as contained <br /> <br />in that ordinance <br /> <br />approved by the <br /> <br />San Marcos <br /> <br />City <br /> <br />Council <br /> <br />on <br /> <br />April <br /> <br />27, <br /> <br />1987, <br /> <br />receipt <br /> <br />of <br /> <br />which <br /> <br />is <br /> <br />hereby <br /> <br />acknowledged, <br /> <br />and <br /> <br />of <br /> <br />the <br /> <br />covenants <br /> <br />of <br /> <br />Licensee <br /> <br />as <br /> <br />hereinafter <br /> <br />set <br /> <br />forth, <br /> <br />Licensor hereby grants a license and permission to Licensee to <br /> <br />construct, <br /> <br />reconstruct, <br /> <br />use, <br /> <br />maintain, <br /> <br />operate, <br /> <br />repair <br /> <br />and <br /> <br />install <br /> <br />utility <br /> <br />lines, <br /> <br />pipes <br /> <br />and <br /> <br />related <br /> <br />appurtenances <br /> <br />across <br /> <br />or <br /> <br />along <br /> <br />Licensor's property located <br /> <br />in San Marcos, <br /> <br />County of Hays, <br /> <br />State of <br /> <br />Texas, <br /> <br />at <br /> <br />or <br /> <br />near <br /> <br />the <br /> <br />location of utility lines, <br /> <br />pipes <br /> <br />and related <br /> <br />appurtenances which now exist or may hereafter be constructed provided <br /> <br />that said util i ty lines, <br /> <br />pipes and related appurtenances are part of <br /> <br />the City of San Marcos utility systems. <br /> <br />ARTICLE II. <br /> <br />Licensee undertakes and agrees: <br /> <br />1. <br /> <br />Present <br /> <br />Occupants: <br /> <br />To <br /> <br />make <br /> <br />appropriate arrangements with <br /> <br />Licensor so that Licensee's operations under this agreement will not <br /> <br />unreasonably interfere with the use of the subject property or create <br /> <br />undue hardship on the Licensor. <br /> <br />Licensee agrees to repair any damages <br /> <br />to Licensor's property. <br /> <br />Liability: <br /> <br />Licensee hereby assumes the risk of, <br /> <br />and <br /> <br />agrees <br /> <br />2. <br /> <br />to <br /> <br />indemnify <br /> <br />and <br /> <br />hold <br /> <br />harmless <br /> <br />against <br /> <br />all <br /> <br />liability, <br /> <br />damages, <br /> <br />expenses, attorney's fees, and costs for <br /> <br />injuries <br /> <br />to <br /> <br />and <br /> <br />deaths <br /> <br />of <br /> <br />-1- <br />
