factory warranty from Data Flow Systems, Inc. as described in Paragraph 8 of Attachment C to this <br />Agreement. All software and hardware additions, modifications and substitution will integrate fully <br />with other software and hardware packages in the existing SCADA system. <br /> <br />1.1.5 Ifrequiied under state, local or federal laws, services performed by the Contractor under this <br />Agreement will be by persons appropriately licensed or registered under those laws. <br /> <br />1.1.6 All services performed by or for it under this Agreement will be performed on a timely basis, <br />and in a good and workmanlike manner by persons having specialized skill and knowledge as to the <br />services being performed. <br /> <br />1.1.7 The City shall have quiet enjoyment of all computer hardware and software provided by the <br />Contractor, and no change in the organization, structure or ownership of the Contractor shall in any <br />way interfere or diminish the City's use, possession and enjoyment of the software and hardware. <br /> <br />1.1.8 Anyprovision in this Agreement pertaining to the City's review, approval, and/or acceptance <br />of written materials prepared by the Contractor and/or its subcontractors in connection with this <br />Agreement will not diminish the Contractor's responsibility for the materials. <br /> <br />1.1.9 All training to be provided by the Contractor to the City as part of the Contractor's services <br />under this Agreement will be sufficient to enable the City's staff to fully use, troubleshoot and repair <br />the upgraded SCADA system for the City's intended purposes. <br /> <br />The Contractor will: <br /> <br />1.1.10 Provide a project manager for the duration of the Project. The duties of the project manager <br />include general administrative duties associated with the Project, including progress monitoring, <br />scheduling, general correspondence, office administration and invoicing. The project manager will <br />work closely with the City Water and Wastewater Utility Department and will coordinate and <br />maintain open communication between all parties involved. <br /> <br />1.1.11 Guarantee that the City has the right to interview all personnel assigned to the Project by the <br />Contractor and accept or reject such personnel individually or collectively. Such interview may be <br />in person, at the City's expense, or via telephone at no charge to the City. The City will have the <br />right to request removal of assigned personnel from the Project on disciplinary grounds or for non- <br />performance. In the event an individual is removed from the Project by demand of the City, the <br />Contractor will make commercially reasonable efforts to submit a replacement within two weeks. <br />Such replacement will be subject to acceptance by the City. <br /> <br />1.1.12 Designate Mike Jakeman as the single contact person assigned to coordinate the Contractor's <br />performance of obligations under this Agreement. Any changes to this designation must be made by <br />the Contractor in writing to the City. <br /> <br />2 <br /> <br /> <br />
