<br />, <br /> <br />106,..a <br /> <br />THE STATE OF TEXAS <br /> <br />I <br />I <br />I <br /> <br />KNOW ALL MEN BY THESE PRESENTS: <br /> <br />COUNTY OF HAYS <br /> <br />That on this S'~aY of Jt~l~/I../ ,A.D. 1974, the City of <br />San Marcos, Hays County, Te as, a municipal corporation by and under <br />the laws of the State of Texas, hereinafter referred to as "City", <br />and EA.PAC Resource Recovery Division, Inc., a. business corporation <br />under the laws of the State of Texas, hereinafter referred to. as <br />~Company", dJ enter into this contract for the purpose of providing <br />a mutually beneficial system of waste paper disposal, <br /> <br />I <br /> <br />City hereby agrees and consents to deliver to Company at Company's <br />business location in San Marcos, Hays County, Texas, more particularly <br />described by the attached "Exhibit A", the Same being hereby in- <br />corporated into this agreement for all intents and purposes, all <br />paper and cardboard waIte collected by City in its normal course of <br />solid waste collection from that certain collection route more <br />particularly described in the attached "Exhibit BfI which is hereby <br />incorporated into this agreement for all intents and purpose. By <br />mutual consent of the parties to this agreement. the route referenced <br />above may be expanded during the primary period of this agreeJllent <br />so as to increase the quantity of paper waste c611eCted by City and <br />delivered to Company. <br /> <br />II <br /> <br />I <br /> <br />Consideration for the making of this agreem.ent is hereby agreed <br />to run to the benefit of both parties in that the perforlllanceof <br />said agreement is contemplated to amount to equipment and personnel <br />savings to City. Company receives and acknowledges the value of said <br />waste to be delivered to Company for use in its business. Furthermore, <br />by contract of even date herewith, Company has agreed to. furnish <br />equipment and personnel sufficient to collect paper and cardboard <br />waste from collection points designated in said contract. <br /> <br />III <br /> <br />The primary period of this agreement shall be eighteen (18) <br />months, with an option resting with both parties to extend said <br />agreement far an additional period of eighteen (18) months. It is <br />agreed that mutua.l consent to extend said agreement shall be a <br />condition precedent to an extension. <br /> <br />I <br />[ <br /> <br />IV <br /> <br />Company agrees to provide City with evidence of insurance, naming <br />City as additionally insured, with said. policy covering claims against <br />Company and City in theamounts of $100,000.00 for personal injury <br />to any person, .$300,000',00 p!!rsonal iiljuryperoccurrence, and. <br />$100,000; 00 property damage~Said insurance is .to cover Company's <br />business operations at any and all locations where Company will be <br />conductin~ any aspect of its business operations. <br /> <br />v <br /> <br />I <br /> <br />Company and City agrees to notify the other immediately bfany <br />mechanical failure which will prevent said party from performing <br />the duties placed on said party by this agreement. Any said failure <br />will noi serve as groundsfor!ermination of this agreement; provided <br />however, that the party experie.ncing the failure shall use reasonable <br />diligence in correcting said failure. or in making ther arrangements <br />for the execution of this agreement. . Failure to u e reasonable <br />diligence as described above shall be grounds for ermination.of <br />this agreement. <br />
