1.5. HELP wants to ensure that the ETJ Tract remains outside of the City limits for a <br />defined period of time to reduce the operational costs of the Project arising from City taxes and <br />other fees. The City similarly wants to encourage the successful implementation of the Project by <br />agreeing to not initiate annexation of the ED Tract for an agreed period of time provided it is <br />used for the Project during such time. <br />1.6. The City is authorized under Chapter 380 of the Texas Local Government Code <br />( "Chapter 380 ") to offer certain economic development incentives for public purposes, including <br />the promotion of local economic development and the stimulation of business and commercial <br />activity in the City. <br />1.7. Providing an incentive to HELP and its affiliate (the "Affiliate ") under the terms <br />and conditions of this Agreement is consistent with the public purposes of Chapter 380 and the <br />economic development objectives of the City. <br />1.8. For the reasons stated in these Recitals and in consideration of the mutual benefits <br />to and promises of the Parties set forth below, the Parties want to enter into this Agreement and <br />agree to the terms and conditions set forth in this Agreement. <br />ARTICLE II <br />CHAPTER 380 PROGRAM ESTABLISHED <br />Chapter 380 Program. The City Council, in authorizing this Agreement, hereby finds <br />that a public necessity exists for and authorizes the establishment of, pursuant to Chapter 380, a <br />program under which the City will provide an incentive hereinafter provided, to assist in and <br />effectuate the economic development objectives of the City as set forth in the Recitals.
