commercial activity within the City. <br />ARTICLE III <br />AGREEMENT <br />3.1. Use of Property for the Project HELP intends to lease the property to its <br />Affiliate to permit it to develop the Property exclusively for the Project in substantial accordance <br />with the Project Description in Exhibit "D ". As part of the lease, HELP shall assign this <br />Agreement and the Affiliate shall assume, in writing, the obligations of HELP as set forth in this <br />Agreement. <br />(a) Minimum Taxable Portion of Project to be on City Tract. As part of <br />the Project and in consideration of the City's agreement to not initiate annexation <br />proceedings under paragraph 3.5 below, HELP agrees to conduct specific operations and <br />activities and to maintain, place and install taxable property and equipment related to the <br />Project all as described and identified in Exhibit "D ". <br />3.2. Project Implementation HELP shall begin construction of the Project within 18 <br />months after the Effective Date and thereafter pursue with commercially reasonable diligence <br />completion of the Project to be fully operational. HELP shall provide notice to the City when it <br />begins construction of the Project. <br />3.3. Compliance with Laws In its use of the Property and construction, operation and <br />maintenance of the Project, HELP shall comply with all applicable laws, rules and regulations, <br />including applicable land use and development regulations of the City and Hays County, Texas. <br />3.4. Term The term of this Agreement shall begin on the Effective Date and continue <br />for a period of seven years from January 1 of the first full calendar year following completion of <br />construction of the Project improvements, but in no event shall it continue beyond December 30, <br />
