groundbreaking event for the Project or any other formal public announcement of the Project on <br />or after the Effective Date, HELP agrees that the Project shall be referred to, named or identified <br />as "San Marcos -Hays Solar Project" and that such name shall be used in any public presentations, <br />signage, promotional materials, advertising, press releases or similar communication referring to <br />the Project. Notwithstanding the foregoing, any public presentations, signage, promotional <br />materials, advertising, press releases or similar communication referring to the Project may also <br />contain to the name of the owner(s), its (their) trade name(s) and/or its parent(s). <br />ARTICLE IV <br />DEFAULT AND TERMINATION <br />4.1. Default for Abandonment of the Project The City Manager may declare a default <br />and terminate this Agreement immediately if HELP abandons the Project as described in Exhibit <br />"D" and as provided under paragraph 3.1. <br />4.2. Other Grounds for Default The City Manager may declare a default under this <br />Agreement and, subject to paragraph 4.3, may terminate this Agreement if: <br />(a) HELP fails to timely implement the Project as provided in paragraph 3.2; <br />(b) HELP refuses, fails or neglects to comply in a material way with any of the <br />terms of this Agreement; <br />(c) HELP made or makes any representation relied upon by the City in <br />entering into this Agreement or in any subsequent request or submission to the City <br />relating to this Agreement that is false or misleading in any material respect; <br />(d) HELP allows ad valorem taxes or other fees due or owed to the City to <br />become delinquent. <br />
