3. participation in trades shows and other marketing opportunities. <br />B. Program Implementation As each component of the Program is developed by the <br />Chamber, it will present a proposal for implementing each component or part thereof, together <br />with the costs for implementation to the City Manager or his designee. The City Manager or his <br />designee will provide to the Chamber comments, changes, and objections, if any, to the proposal <br />within five business days after receiving the proposal. Once the proposal, including associated <br />costs, is approved, the Chamber may implement it. The Program and activities under these <br />paragraphs A and B of this Article II shall be referred to as the "Additional Services ". <br />C. Compensation for Additional Services In addition to the compensation for <br />services under the Contract, the City agrees to pay the Chamber an amount not to exceed <br />$142,000.00 for the Additional Services (the "Additional Compensation "). The Additional <br />Compensation shall be based upon actual costs to the Chamber based on invoices submitted <br />monthly to the City. The monthly payment obligations of the City under paragraph B of Article I <br />of the Contract shall remain the same, except that the Additional Compensation shall be paid <br />monthly in amounts equal to invoices for expenses incurred by the Chamber for the Additional <br />Services during the preceding month, beginning with the first month such expenses are incurred <br />following the effective date of this Addendum. <br />D. Reports The Chamber will submit quarterly reports to the City summarizing all <br />of its activities and expenditures incurred related to the Program during the applicable reporting <br />period as follows: <br />Reporting Period <br />eriod <br />October - December <br />January -March <br />April -June <br />July- September <br />Report Submission Date <br />February 15 <br />May 15 <br />August 15 <br />November 15 <br />E. Program Assessment To assist in evaluating the impact of the Program, the <br />Chamber shall include in each report under paragraph D statistics regarding the following: hotel <br />occupancy tax collections; sales tax collections; coupon offer redemptions; website unique <br />visitors; and Q -Code conversions. To the extent reasonably possible, the Chamber shall provide <br />an analysis of how the Program as implemented through the end of the applicable reporting <br />period influenced the statistics reported. The Chamber may provide such other statistics as it <br />may have available to assist in evaluating the impact of the Program. <br />F. Contract Terms Continue All other terms and conditions of the Contract shall <br />continue in full force and effect and shall apply to the provision of the Additional Services <br />except as otherwise provided in this Addendum. <br />EXECUTED to be effective as of February 1, 2011. <br />Page 2 of 3 <br />
