Section 3.02. Waivers Limited. The above waivers apply only to the Centerpoint Sign <br />and the Interstate Sign. Except as specifically stated above, the City grants no other waivers of <br />requirements under the LDC, and any signs, including the Centerpoint Sign and Interstate Sign, <br />installed by the Owner shall conform in every other respect to the requirements of the LDC and <br />other applicable ordinances, rules, regulations and standards of the City. The waivers granted do <br />not allow for the Centerpoint Sign or the Interstate Sign to exceed the dimensions specified in <br />Exhibit "A ". <br />PART 4. DEFAULT AND TERMINATION <br />Section 4.01. Default and Termination. The City Manager may declare a default under <br />this Agreement and may terminate this Agreement if the Owner: <br />a. fails to complete the Project within the time specified or according to the <br />specifications in Section 2.01; <br />b. fails to operate the Tanger Outlets as required under Section 2.02, with the <br />exception of interruptions which may occur from Force Majeure events; <br />C. fails to display public service messages in accordance with Section 2.03; <br />d. allows the Centerpoint Sign or the Interstate Sign to remain inoperable for <br />a period of 60 or more days, unless the inoperation is beyond the Owner's control and <br />Owner is undertaking reasonable efforts to restore operation; <br />e. made or makes any representation relied upon by the City in entering into <br />this Agreement or in any request or submission to the City relating to this Agreement that <br />is false or misleading in any material respect; <br />f. assigns this Agreement without the consent of the City; or <br />f.. allows ad valorem taxes on property in the City owned by Owner to <br />become delinquent. <br />Section 4.02. Notice of Default and Termination. If the City Manager reasonably <br />determines that the Owner is in default under Sections 4.01 (a), (c), (d) or (f), the City Manager <br />will notify the Owner in writing of such default, and if the default is not cured within 30 days <br />from the date of the notice, the City Manager may terminate this Agreement, unless reasonable <br />efforts are being made to cure said default and said default cannot reasonably be cured within 30 <br />days. For any other default under this Agreement, the City Manager may terminate the <br />Agreement upon sending 30 days prior written notice of termination to the Owner. <br />Section 4.03. Status of Signs and Waivers Upon Termination. Upon termination of <br />this Agreement, the Owner agrees that the waivers granted by the City shall automatically expire <br />3 <br />
