<br />The City of San Marcos Facilities Service Contract <br /> <br />have a material bearing on the quality of service provided hereunder, and that effective <br />cooperation between the City and the Facilities Manager will be essential to effectuating the <br />intent and purposes of this Service Contract. Accordingly, not fewer than 30 days prior to the <br />date on which any candidate for Facilities Manager from time to time during the Term of this <br />Service Contract is proposed by the Company to assume managerial responsibility for the <br />Facilities, the Company shall: (1) provide the City with a comprehensive resume of the <br />candidate's licenses, training, experience, skills and approach to management and customer <br />relations; and (2) afford the City an opportunity to interview the candidate with respect to such <br />matters. The City shall have the right within 30 days following such interview to disapprove <br />the hiring of the proposed candidate, which right of disapproval shall not be exercised <br />unreasonably. <br />(C) Companv's Senior Supervisors. The Company shall appoint and inform <br />the City of the identity of the corporate officials of the Company with senior supervisory <br />responsibility from time to time for the Facilities and the performance of this Service Contract <br />(the "Senior Supervisors"). The Company shall promptly notify the City in writing of the <br />appointment of any successor Senior Supervisors. The Senior Supervisors shall cooperate with <br />the City in any reviews of the performance of the Facilities Manager which the City may <br />undertake from time to time, and shall give full consideration to any issues raised by the City <br />in conducting such performance reviews. <br />(D) The City agrees to not offer employment to the Facilities Manager or <br />Company's Senior Supervisors directly working at the Facilities for a period of two years (2) <br />after the end date of this Service Contract or said employees re-assignment from the Facilities <br />unless approved by the Company. <br />(E) Communications and Meetings. On or before the Commencement Date, <br />the Company shall inform the City of all business telephone, fax and beeper numbers, e-mail <br />address and other means by which the Facilities Manager and Senior Supervisors may be <br />contacted. The City shall furnish to the Company comparable communications information <br />with respect to the Contract Administrator. The Company shall meet with the City each month <br />to review the contents of the operations reports required to be prepared pursuant to <br />Section 7. 17. The Facilities Manager and, if requested by the City and if reasonably <br />practicable, the Senior Supervisors each shall personally attend the monthly operations <br />meetings with the City, and all public City meetings which the City may reasonably request <br />from time to time, to review management, operational, performance and planning matters <br />arising with respect to the Facilities and this Service Contract. <br />SECTION 7.9. OPERATION AND MAINTENANCE MANUAL. (A) Development. <br />The Company shall provide to the City five copies of a draft updated Operation and <br />Maintenance Manual within 90 days following the Commencement Date.
