121. PROFESSIONAL SERVICES AGREEMENT This AGREEMENT is made this the 5th day of October , 2005, between the City of San Marcos, Texas ("City"), 630 East Hopkins, San Marcos, Texas 78666 and Langford Community Management Services ("Consultant"), 13740 Research Blvd., Suite Gl, Austin, Texas 78750 for the provision of professional services in connection with the administration of a Texas HOME Partnership Grant Program. The City and the Consultant agree as follows: ARTICLE 1 CONSULTANT'S SERVICES AND RESPONSIBILITIES 1.1 STANDARDS OF PERFORMANCE 1.1.1 Consultant will be responsible for the administration/implementation of a Texas HOME Partnership Grant Program which will include the rehabilitation or reconstruction of approximately eight residences (the "Project"). At a minimum the Consultant will perform Project management, financial management, environmental review, construction document preparation, construction administration, fair housing and equal opportunity activities, owner occupied rehabilitation/.reconstruction assistance activities, and assistance with audit and close- out ofthe Project. Funding for the Project is being provided by the United States Department of Housing and Urban Development ("HUD") through the Texas Department of Housing and Community Affairs ("TDHCA") HOME Owner Occupied Housing Assistance Program (the "Program"). The Consultant will perform all of its services so that the Project will proceed in accordance with Program guidelines. 1.1.2 The Consultant's Basic Services consist of the services described in Sections 1.1 through 1.9. Certain portions of the Consultant's Basic Services may be required to be performed through the following consulting disciplines as subcontractors to the Consultant: (1) VHI Inspections - Housing Inspection firm (2) V oelter Associates, Inc. - ArchitecturallEngineering firm 1.1.3 The performance of all services by the Consultant or under its supervlSlon, and all persons engaged in the performance of the Consultant's services in connection with this Agreement will be fully qualified, licensed or registered under State, local and Federal laws governing their respective consulting disciplines. In performing all services under this Agreement, the Consultant will use that degree of care and skill ordinarily exercised for similar projects by professional consultants who possess special expertise in the types of services involved under this Agreement. 1.1.4 No work under this Agreement will be subcontracted by the Consultant without prior written approval from the City. Any work or services subcontracted under this Agreement will be specified by separate written agreement and will be subject to each provision of this Langford Contract 1
