<br />121. <br /> <br />PROFESSIONAL SERVICES AGREEMENT <br /> <br />This AGREEMENT is made this the 5th day of October , 2005, between the <br />City of San Marcos, Texas ("City"), 630 East Hopkins, San Marcos, Texas 78666 and Langford <br />Community Management Services ("Consultant"), 13740 Research Blvd., Suite Gl, Austin, <br />Texas 78750 for the provision of professional services in connection with the administration of a <br />Texas HOME Partnership Grant Program. <br /> <br />The City and the Consultant agree as follows: <br /> <br />ARTICLE 1 <br />CONSULTANT'S SERVICES AND RESPONSIBILITIES <br /> <br />1.1 STANDARDS OF PERFORMANCE <br /> <br />1.1.1 Consultant will be responsible for the administration/implementation of a Texas HOME <br />Partnership Grant Program which will include the rehabilitation or reconstruction of <br />approximately eight residences (the "Project"). At a minimum the Consultant will perform <br />Project management, financial management, environmental review, construction document <br />preparation, construction administration, fair housing and equal opportunity activities, owner <br />occupied rehabilitation/.reconstruction assistance activities, and assistance with audit and close- <br />out ofthe Project. Funding for the Project is being provided by the United States Department of <br />Housing and Urban Development ("HUD") through the Texas Department of Housing and <br />Community Affairs ("TDHCA") HOME Owner Occupied Housing Assistance Program (the <br />"Program"). The Consultant will perform all of its services so that the Project will proceed in <br />accordance with Program guidelines. <br /> <br />1.1.2 The Consultant's Basic Services consist of the services described in Sections 1.1 through <br />1.9. Certain portions of the Consultant's Basic Services may be required to be performed <br />through the following consulting disciplines as subcontractors to the Consultant: <br /> <br />(1) VHI Inspections - Housing Inspection firm <br />(2) V oelter Associates, Inc. - ArchitecturallEngineering firm <br /> <br />1.1.3 The performance of all services by the Consultant or under its supervlSlon, and all <br />persons engaged in the performance of the Consultant's services in connection with this <br />Agreement will be fully qualified, licensed or registered under State, local and Federal laws <br />governing their respective consulting disciplines. In performing all services under this <br />Agreement, the Consultant will use that degree of care and skill ordinarily exercised for similar <br />projects by professional consultants who possess special expertise in the types of services <br />involved under this Agreement. <br /> <br />1.1.4 No work under this Agreement will be subcontracted by the Consultant without prior <br />written approval from the City. Any work or services subcontracted under this Agreement will <br />be specified by separate written agreement and will be subject to each provision of this <br /> <br />Langford Contract <br /> <br />1 <br />
