<br />ATTACHMENT E <br />General Provisions <br /> <br />Article 1: <br /> <br />Leqal Authority and Indemnification <br /> <br />The SUBCONTRACTOR warrants and assures CP-,PCO that it possesses adequate lega! <br />authoritv to enter into this Contract. The SUBCONTRA.CTOR'S goveming body where <br />applicable has authorized the signatory officiai(s) to enter into this Contract and bind the <br />SUBCONTRACTOR to the terms of this Contract and any subsequent amendments here:o. The <br />SUBCONTRACTOR agrees to adhere to the provisions of Section 361.014 of the Texas Health <br />and SafeTy Code, Title 30 Texas Administrative Code section 330,569, to the provisions of section <br />330.59 of the TNRCC Municipa! Solid Waste Regulations, this agreement and the Uniform Grant <br />Manageme....t Standards (UUGMS"). <br /> <br />Indemnification <br /> <br />(a) To the extent allowed by Texas law, SUBCONTRACTOR agrees at its own expense <br />to defend CAPCO and TNRCC, their governing body members, officers, empioyees, <br />and agents, against any claim, suit, or administrative proceeding, and to indemnify <br />them against any liability (including all expenses and reasonable COLlnsel fees <br />incurred), arising out of any act or omission of SUBCONTRACTOR's governing body <br />member, officer, employee, or agent under this Contract. <br /> <br />(b) if SU8CONTRP.CTOR is served with process in a suit or prooeeding described in <br />Subsection (a), SUBCONTR..A.CTOR agrees to furnish CAPCO promptly with a copy of <br />the process, <br /> <br />(c) SUBCONTRACTOR agrees that ITS incemni7lcation obligations under Subsection (a) <br />apply to causes of action accruing during the term of this Contract, and t"iat for this <br />purpose the obligations will survive the ending or eariy termination of this Contra'::. <br /> <br />Article 2: <br /> <br />Scope of Services <br /> <br />The serlices to be performed by the SUBCONTR~CTOR are herewith outlined in the General <br />Contract (Attachment E) and the Special Contract Provisions (Attachment A), which are hereby <br />incorporated into and made a part or this Contract as if set out word-for-word herein. <br /> <br />Article 3: <br /> <br />Purpose <br /> <br />(a).
