CITY OF SAN MARCOS <br />LICENSE AGREEMENT <br />THIS LICENSE AGREEMENT ( "License Agreement') is made and entered into by and <br />between the City of San Marcos, a Texas home -rule municipal corporation, whose offices are <br />located at 630 East Hopkins Street, San Marcos, Texas 78666 (hereinafter referred to as "City "), <br />and (Name) a (State of formation and tvve of entitv) whoseofficesare <br />located at (Address) (hereinafter referred to as "Licensee "). <br />RECITALS: <br />WHEREAS, City owns, and has the exclusive right and power to use, the trade name <br />"City of San Marcos, Texas" and associated trade names, trade slogans, trademarks, service <br />marks, copyrights, commercial identification words, letters, symbols, intellectual property and <br />logos used in conjunction with that trade name (the "Trademarks "); including the adopted <br />Mark and Tagline, and associated logos, marks and taglines; and <br />WHEREAS, City desires to enhance awareness of the City and promote the image of the San <br />Marcos community through the use of the products and promotional items produced <br />manufactured, marketed, or distributed by Licensee; and <br />WHEREAS, City intends to accomplish these objectives by the grant of a standard non- <br />exclusive License Agreement between the City of San Marcos and Licensee for the use of the <br />Trademarks; and <br />WHEREAS, City and Licensee desire to enter into this License Agreement to set forth in <br />writing their respective rights, duties and obligations hereunder; <br />NOW, THEREFORE, WITNESSETH, <br />That for and in consideration of the mutual promises contained herein and other good and <br />valuable consideration, the sufficiency and receipt of which are hereby acknowledged, it is <br />mutually agreed between the parties as follows: <br />ARTICLE 1 <br />1.01 City has the exclusive right and power to use the Trademarks. As part of its business <br />operations, City may grant others the right and license to produce, distribute, market, or <br />manufacture products using the Trademarks. <br />1.02 Under this License Agreement, Licensee desires to produce, manufacture, market, or <br />distribute or give away products using the Trademarks to promote the City of San Marcos, <br />
